Signatures <br /> The individuals executing this Agreement represent and warrant that they have the <br /> legal capacity and authority to do so on behalf of their respective legal entities. This <br /> Agreement may be executed in counterpart which when taken together shall be <br /> considered one and the same agreement. Facsimile, including email, and electronic <br /> signatures shall be binding. <br /> J. Severability <br /> If any term or provision of this Agreement is deemed invalid or unenforceable by a <br /> court of competent jurisdiction or by operation of any applicable law, it will not affect <br /> the validity of any other provision, which will remain in full force and effect. <br /> K. Governing Law and Venue <br /> This Agreement is governed by and will be interpreted in accordance with the laws of <br /> the State of California. Venue shall be in the Superior Court of the County of <br /> Alameda. <br /> L. No Third-Party Beneficiaries <br /> No third-party beneficiaries are intended or created by this Agreement. <br /> M. Complete Agreement <br /> This Agreement represents the entire agreement between the Parties relating to the <br /> subject matter hereof. <br /> 11 <br />
