3. When emergency response assistance is required by any Party related to the <br /> Project, mutual assistance or aid may be requested in accordance with any <br /> applicable mutual aid or operations agreements. <br /> 4. The Parties shall create and maintain an emergency contact list, which shall <br /> include names, roles, and emergency contact information for emergency response <br /> personnel. If an urgent or emergency condition exists, the responding Party shall <br /> attempt to reach their counterpart, by telephone as soon as reasonably possible. <br /> 5. No Party to this Agreement, or a third party under contract with a Party, shall be <br /> constrained in an urgent or emergency situation from expending funds or <br /> performing work on the Project that is in compliance with state and local <br /> emergency procurement requirements, in order to prevent or mitigate the loss or <br /> impairment of life, health, property or essential public services to its customers at <br /> its individual expense and in accordance with its policies and procedures. In such <br /> an event, the Party performing, or that has authorized, the work shall notify the <br /> other Parties soon as reasonably practical. <br /> VI. REPORTING <br /> On a monthly basis,the Parties will do the following: <br /> a) DSRSD will prepare and provide a report to City of Livermore and City of Pleasanton <br /> on total quantity of recycled water delivered to the recycled water fill station for the <br /> prior month; <br /> b) City of Livermore will provide the number of daily vehicle trips at the station(broken <br /> down by city of residence); <br /> c) City of Pleasanton will provide the number of residential customers and the amount <br /> of Program Fee revenues received and provide a report of season passes sold with <br /> residency and contact information of the purchaser of the season pass (including the <br /> physical address and phone number)to the corresponding jurisdiction. <br /> VII. GENERAL PROVISIONS <br /> A. Termination <br /> The Parties may, at any time,terminate the Agreement immediately or suspend <br /> operations, subject to any actions determined necessary to safely terminate or suspend <br /> operations and apportion costs as described in paragraphs 3 and 4 of this Section <br /> VII.A. Termination pursuant to this paragraph shall be unanimous and be documented <br /> in a writing pursuant to Section VII.B. of this Agreement. <br /> Except as expressly provided for in the preceding paragraph, a three-year term <br /> commitment is expected of the Parties. A Party may, however, terminate its <br /> participation in this Agreement and the Project by delivering to the other Parties, no <br /> later than August 28, 2025 or August 28, 2026, a written Notice of Intention to <br /> Terminate to be effective for the 2026 and 2027 operational years respectively. <br /> 8 <br />
