6 Insurance Certificates will be provided upon request. VMWP's policies shall name City of Pleasanton as additionally insured to the reasonable ability of our insurance carriers. 7. Assignment of Contract and Services VMWP and the City of Pleasanton respectively bind themselves,their successors,assigns and legal representatives to the other party to this Agreement.VMWP acknowledges and consents to the assignment of this agreement and associated contractual rights and obligations by the undersigned Owner to a direct or indirect subsidiary entity of the City of Pleasanton, provided that the successor entity shall be bound by this agreement and liable for all enumerated obligations. The undersigned parties shall not assign nor transfer any interest in this Agreement nor delegate any duties under this Agreement without providing prior notifications to and receiving prior written consent of all other parties to this Agreement. S. Termination and Authorization to Proceed with Partial Scope The City of Pleasanton hereby authorizes VMWP LLP to proceed with the above Scope of Services: VMWP LLP will proceed with the above services subject to each of the following: 1. Intentionally left blank. 2. Either party shall be entitled to terminate this agreement by seven days written notice to the other party. In that event, City of Pleasanton shall be obligated to reimburse VMWP, LLP for expenses incurred prior to the termination notice and through the seven-day noticing period.The amount payable shall be based on the attached hourly rate schedule. If this fee proposal and general terms are agreed to please sign and return this letter agreement.
