Exhibit A <br /> INDEMNIFICATION AGREEMENT <br /> THIS INDEMNIFICATION AGREEMENT("Agreement")is entered into this day <br /> of ,2022, by ("Contractor")and the City of Pleasanton("City"). <br /> WHEREAS, Robert Edward Borchers and Beth Suzanne Borchers,Trustees of The <br /> Borchers Family Revocable Trust dated 6-21-2006 ("Owners") are subdividing land at 2207 <br /> Martin Avenue, Pleasanton,to facilitate construction of a custom home with frontage and access <br /> on Dennis Drive, and Owners have agreed to construct public right-of-way improvements <br /> located on adjacent property within the"Dennis Drive Offer of Dedication"area and"PSE" <br /> (Public Service Easement)dedicated to City on the final map for Parcel Map 8291 (Book 288 of <br /> Maps at Pages 15-16,Alameda County Recorder's Office)and at a location commonly known as <br /> 3520 Dennis Drive, and have entered into an agreement("Public Improvement Agreement")with <br /> the City for the construction of these 3520 Dennis Drive Improvements; <br /> WHEREAS, Contractor has entered into an agreement with Owners to construct the 3520 <br /> Dennis Drive Improvements; and <br /> WHEREAS,as required by the Public Improvement Agreement, Contractor is required to <br /> indemnify the City and provide insurance for claims arising from the Contractor's work in <br /> constructing and installing the Dennis Drive Improvements described in the Public Improvement <br /> Agreement; <br /> NOW,THEREFORE, in exchange for valuable consideration, the receipt of which is <br /> hereby acknowledged,the parties agrees as follows: <br /> 1. Indemnification. Contractor agrees to indemnify, defend and hold harmless the City, <br /> its elective and appointive officers, agents and employees from any liability for damage or claims <br /> for damage for personal injury, including death, as well as from claims for property damage <br /> which may arise from Contractors',its subcontractors', agents', or employees' work to construct <br /> the 3520 Dennis Drive Improvements, whether such operations be by Contractor, subcontractors, <br /> or by any one or more persons directly employed by,or acting as agent for,Contractor or its <br /> subcontractors. <br /> 2. Insurance. Contractor agrees to provide the insurance as described in Section 5 of the <br /> Public Improvement Agreement. <br /> 3. Counterparts and Electronic Signatures. This Agreement may be executed in multiple <br /> counterparts, each of which shall be an original and all of which together shall constitute one <br /> Public Improvement Agreement—3520 Dennis Drive Page 6 of 8 <br />
