ATTACHMENT 1 <br /> THIRD AMENDMENT TO AGREEMENT <br /> This Third Amendment to Agreement("Third Amendment") is entered into this day of <br /> 2021 by the City of Pleasanton("City") and Raftelis Financial Consultants, a corporation <br /> whose address is 445 S. Figueroa Street, Suite 2270 Los Angeles, CA 90017, and telephone number is <br /> (213) 262-9304 ("Consultant"). <br /> Whereas, on September 3, 2019 the City and Consultant entered into Agreement for <br /> water and sewer rate study services, on September 1, 2020 the City and Consultant entered into <br /> the First Amendment to add scope and extend the term, and on October 15, 2021 the City and <br /> Consultant entered into the Second Amendment to further extend the term (collectively the <br /> "Agreement"); and <br /> Whereas,the City wishes to add drought rate review and water and sewer connection fee <br /> study to the scope of work; and <br /> Whereas,the water and sewer connection fee study requires an extension of the contract <br /> to June 30, 2023; and <br /> Whereas,the parties desire to amend to the Agreement; <br /> Now,therefore, in exchange for valuable consideration,the receipt of which is hereby <br /> acknowledged,the parties agree as follows: <br /> 1. Section 3 of the Agreement, "Terms" is amended to read: "This contract shall commence <br /> on the date written above and shall expire June 30, 2023." <br /> 2. Section 4 of the Agreement, "Compensation"is amended to read: "Total compensation <br /> for services and reimbursement for costs shall not exceed $213,400." <br /> 3. Exhibit A of the Agreement, "Scope of Consultant Services and Compensation"is <br /> amended to include drought rates and water and sewer connection fee study. <br /> 4. This amendment may be executed in multiple counterparts, each of which shall be <br /> an original and all of which together shall constitute one agreement. Counterparts <br /> may be delivered via facsimile, electronic mail (including pdf or any electronic <br /> signature complying with U.S. federal E-Sign Act of 2000(15 U.S. Code §7001 <br /> et seq.), California Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 <br /> et seq.), or other applicable law) or other transmission method, and any <br /> counterpart so delivered shall be deemed to have been duly and validly delivered <br /> and be valid and effective for all purposes. <br /> 5.
