ATTACHMENT #3 <br /> AS-NEEDED MAINTENANCE AND TRADE SERVICES AGREEMENT <br /> RESERVOIR CATHODIC SYSTEM INSPECTION, DESIGN AND REPAIRS OSD 2021-605 <br /> THIS AGREEMENT is made and entered into this day of September 2021 between <br /> Corrosion Protection Solutions,Inc. ("Contractor"),whose address is 2058 Fostoria Circle, Danville, <br /> CA 94526 and the CITY OF PLEASANTON, a municipal corporation("City"). <br /> RECITALS <br /> A. Contractor is qualified and experienced in providing the work or services of Reservoir Cathodic <br /> Inspection, Design, and Repairs as set forth in Exhibit A of this Agreement. <br /> B. City finds it necessary and advisable to obtain work or services from Contractor on an as-needed basis. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, <br /> City and Contractor agree as follows: <br /> 1. Term. The term of this Agreement commences on the date written above and will expire on June <br /> 30,2024 unless the parties agree to extend the Agreement for an additional two(2)one-year terms, <br /> not to exceed five (5)years total for this Agreement. <br /> 2. Services to be performed. Contractor shall perform, or cause to be performed, the work or <br /> services described in Exhibit A. This Agreement does not obligate the City to utilize Contractor <br /> exclusively for such work or services. <br /> When requested by the City,Contractor will submit a written estimate detailing the cost to perform <br /> the requested work or services. No work shall be performed unless approved by the City's <br /> designated project manager. <br /> 3. Compensation. Total compensation pursuant to this Agreement shall not exceed $300,000 for <br /> the three-year term. Rates shall be as set forth in Exhibit A. For the second or subsequent years of <br /> the Agreement, the cost of each one-year term may increase only by the change in the consumer <br /> price index for the San Francisco-Oakland-San Jose Metropolitan Area(all items index; all urban <br /> consumers) for the twelve-month period ending in April each year as published by the Bureau of <br /> Labor Statistics, U.S. Department of Labor. <br /> a. Payment shall be made within thirty(30) days of receipt of Contractor's invoice and approval <br /> by City. <br /> b. If the prevailing wage for crafts or classifications subject to this Agreement change during the <br /> term of this Agreement, the City will accept corresponding increases in Contractor's hourly <br /> rates when sufficient documentation is received from the Contractor and verified with the <br /> Department of Industrial Relations. <br /> 4. Indemnification. Contractor shall hold harmless, defend, and indemnify the City, its officers, <br /> agents and employees ("Indemnities"), against any and all claims, costs, demands, causes of <br /> action, suits, losses, expenses, attorney's fees, or liability, arising from or in any manner related to <br /> Contractor's (includes Contractor's employees, agents, or subcontractors) negligent act or <br />
