Attachment 1 <br /> SECOND AMENDMENT TO AGREEMENT <br /> This Second Amendment to Agreement is entered into this 8 day of September 2021 by the City of <br /> Pleasanton ("City") Townsend Public Affairs, a corporation ("Consultant") <br /> Whereas, the City and Consultant entered into a Professional Services Agreement on July 1, <br /> 2020 under which the Consultant agreed to provide various consultant services for agreed compensation <br /> by the City; and <br /> Whereas,the process for this project has been prolonged; and <br /> Whereas,the parties desire to amend to the Agreement; <br /> Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br /> the parties agree as follows: <br /> 2. Section 4 of the Agreement, " Compensation." is amended to read: <br /> City shall pay Consultant for services rendered pursuant to this Agreement as described <br /> more particularly in Exhibit A. The payments shall be made on a monthly basis upon <br /> receipt and approval of Consultant's invoice. Total compensation and reimbursement for <br /> costs shall not exceed $120,000. <br /> 3.
