<br /> <br />OFFICIAL STATEMENT <br /> <br />$______________* <br />LIVERMORE-AMADOR VALLEY WATER MANAGEMENT AGENCY <br />2021 SEWER REVENUE REFUNDING BONDS <br /> <br />INTRODUCTION <br /> <br />This introduction contains only a brief summary of certain of the terms of the 2021 Bonds <br />being offered and a brief description of the Official Statement. All statements contained in this <br />introduction are qualified in their entirety by reference to the entire Official Statement. References <br />to, and summaries of, provisions of the Constitution and laws of the State of California and any <br />documents referred to in this Official Statement do not purport to be complete and such references <br />are qualified in their entirety by reference to the complete provisions. <br /> <br />Purpose <br /> <br />The purpose of this Official Statement, which includes the cover page and appendices, is <br />to set forth certain information concerning the issuance and sale of the Livermore-Amador Valley <br />Water Management Agency 2021 Sewer Revenue Refunding Bonds (the “2021 Bonds”) pursuant <br />to an Indenture of Trust, dated as of August 1, 2021 (the “Indenture”), between the Livermore- <br />Amador Valley Water Management Agency (“LAVWMA”) and U.S. Bank National Association, as <br />trustee (the “Trustee”), for the purpose of providing funds to (i) refinance LAVWMA’s revenue <br />bonds captioned “$105,345,000 2011 Sewer Revenue Refunding Bonds,” which are outstanding <br />in the principal amount of $64,420,000 (the “2011 Bonds”) and (ii) pay costs of issuing the 2021 <br />Bonds. See “REFUNDING PLAN”. <br /> <br />LAVWMA and the LAVWMA Enterprise <br /> <br />LAVWMA. LAVWMA owns, operates and maintains an export pipeline and related <br />facilities for treated wastewater disposal which benefit the following public agencies (collectively, <br />the “Members”) and their respective system for providing collection, treatment, disposal or reuse <br />of wastewater, as applicable (each, a “Sewer System”): <br /> <br /> Dublin San Ramon Services District (“DSRSD” or the “District”) <br /> City of Pleasanton (“Pleasanton”) <br /> City of Livermore (“Livermore”). <br /> <br />See “-The Members” below. <br /> <br />LAVWMA was created on June 18, 1974, by a Joint Exercise of Powers Agreement, most <br />recently in the form of an Amended and Restated Joint Exercise of Powers Agreement for the <br />Livermore-Amador Valley Water Management Agency, dated September 10, 1997, among the <br />Members. LAVWMA was created for the purpose of providing for the construction, operation, <br />maintenance, repair and replacement of LAVWMA facilities for wastewater disposal to serve the <br />general plans of Livermore and Pleasanton and the service area of DSRSD’s sewer system (see <br />“THE LIVERMORE-AMADOR VALLEY WATER MANAGEMENT AGENCY –Service Area”). <br /> <br />* Preliminary; subject to change.
