<br />16 <br />LAVWMA Maintenance and Operation Costs, whether paid directly by such Member or, <br />as in the case of Pleasanton, paid on behalf of Pleasanton by DSRSD. <br /> <br />“Gross Revenues” is defined to mean, for the pertinent period of computation, (a) <br />all Charges, (b) the Regional Capacity Reserve Buy-In Fees, and (c) all receipts derived <br />from the investment of Charges and the Regional Capacity Reserve Buy-In Fees held by <br />such Member (excluding the Rate Stabilization Fund). <br /> <br />“Charges” is defined to mean (i) Regional Service Charges for DSRSD and <br />Pleasanton and (ii) for Livermore, fees, connection fees, tolls, assessments, rates and <br />charges, including user charges prescribed and collected by the City Council of Livermore <br />for the services and facilities of Livermore’s Sewer System furnished by Livermore within <br />its jurisdiction. To provide clarity, the term Charges does not include Pleasanton Local <br />Charges (see “SECURITY FOR THE 2021 BONDS – Rate Covenants”). <br /> <br />“Regional Service Charges” is defined as the service charges described in the <br />Regional Agreement, whether levied and collected by Pleasanton or DSRSD. <br /> <br />“Regional Capacity Reserve Buy-In Fee” is defined as the buy-in component of <br />the regional capacity fee levied by Pleasanton and DSRSD, which is based on a new <br />customer’s share of Regional Facilities that have already been constructed. <br /> <br />“Maintenance and Operation Costs” is defined as follows: <br /> <br />(1) When used with respect to DSRSD and Pleasanton, for any given <br />period for the Regional Facilities, the reasonable and necessary costs of <br />maintaining and operating the Regional Facilities during such period, calculated <br />on sound accounting principles, including (among other things) the reasonable <br />expenses of management and repair and other expenses necessary to maintain <br />and preserve such facilities in good repair and working order, and reasonable <br />amounts for administration, overhead, insurance, taxes (if any) and other similar <br />costs, but excluding in all cases depreciation, replacement and obsolescence <br />charges or reserves therefor, debt service (including amounts paid by or on behalf <br />of DSRSD or Pleasanton under the Sewer Service Contract for debt service), <br />amortization of intangibles or other bookkeeping entries of a similar nature. To <br />provide clarity, the term “Maintenance and Operation Costs” does not include <br />Pleasanton Local Maintenance and Operation Costs (see “SECURITY FOR THE <br />2021 BONDS – Rate Covenants”). <br /> <br />(2) When used with respect to Livermore’s Sewer System, means, for any <br />given period for any given facilities of Livermore’s Sewer System, the reasonable <br />and necessary costs of maintaining and operating such facilities during such <br />period, calculated on sound accounting principles, including (among other things) <br />the reasonable expenses of management and repair and other expenses <br />necessary to maintain and preserve such facilities in good repair and working <br />order, and reasonable amounts for administration, overhead, insurance, taxes (if <br />any) and other similar costs, but excluding in all cases depreciation, replacement <br />and obsolescence charges or reserves therefor; debt service (including amounts <br />paid by or on behalf of Livermore under the Sewer Service Contract for debt <br />service), amortization of intangibles or other bookkeeping entries of a similar <br />nature.
