EXHIBIT E <br /> RECORDING REQUESTED BY AND <br /> WHEN RECORDED MAIL TO: <br /> City of Pleasanton <br /> City Clerk's Office <br /> 123 Main Street <br /> P.O.Box 520 <br /> Pleasanton,CA 94566 <br /> Exempt from Payment of Recording Fees Pursuant to <br /> Government Code§27383 <br /> SPACE ABOVE THIS LINE FOR RECORDER'S USE <br /> THIS DEVELOPMENT AGREEMENT ("Agreement") is made and entered into in the <br /> City of Pleasanton, California, on this day of , 2021, by and between the City of <br /> Pleasanton, a municipal corporation (the "City"), and 10x Genomics, Inc., a Delaware <br /> Corporation, (the"Developer")pursuant to the authority of California Government Code §§65864 <br /> et seq. <br /> RECITALS <br /> A. To strengthen the public planning process, encourage private participation in <br /> comprehensive planning and reduce the economic risk of development,the Legislature of the State <br /> of California enacted California Government Code §§65864 et seq. (the"Development Agreement <br /> Statute"), which authorizes City to enter into an agreement with any person having a legal or <br /> equitable interest in real property regarding the development of such property. <br /> B. Developer is the owner of certain real property located in the City of Pleasanton, <br /> County of Alameda, California consisting of approximately 14.750 acres at 1701 Springdale <br /> Avenue, Pleasanton, as shown in Exhibit A-1 (the "Property"). The Property was previously <br /> developed with a commercial retail shopping center comprised of approximately 163,500 square <br /> feet and related site improvements. <br /> C. Developer contemplates developing up to three buildings totaling approximately <br /> 381,062 square feet, a 6-story parking garage with 1,168 stalls, surface parking for 90 stalls, and <br /> related site improvements such as landscape modifications, stormwater treatment areas, and other <br /> related improvements (the"Project", as generally shown on the site plan on Exhibit A-2). <br /> D. The Project is proposed to be developed in two to three phases: Phase 1 would <br /> include construction of Building 1,a 2-and 3-story, 150,000 square foot operations facility located <br /> on the north portion of the Property and including resurfacing of 477 parking stalls in the existing <br /> parking lot (the "Phase 1"); Phase 2 would include construction of Building 2, an up to 4-story, <br /> 115,000 square foot research and development facility located on the eastern portion of the <br /> Property, as well as removal of 400 existing surface parking stalls and construction of a 6-story <br /> 354,000 square foot parking structure (the"Phase 2"); and Phase 3 would include construction of <br /> Building 3, an up to 4-story, 116,062 square foot research and development facility located on the <br /> southeastern portion of the Property, and a 36,000 square foot surface parking lot providing 90 <br /> surface parking stalls would be constructed south of the parking structure (the "Phase 3").
