FUNDING AGREEMENT BETWEEN <br /> THE CITY OF DUBLIN AND <br /> AXIS COMMUNITY HEALTH FOR <br /> MENTAL HEALTH URGENT CARE SERVICES PILOT PROGRAM <br /> THIS AGREEMENT is made by and between the City of Dublin ("City") and Axis Community Health <br /> ("Axis") (together sometimes referred to as the "Parties") as of 2021 (the "Effective <br /> Date"). <br /> RECITALS <br /> This Agreement is made with respect to the following facts and purposes which each of the parties <br /> acknowledge and agree are true and correct: <br /> a. The need for mental health services in the Tri-Valley has increased dramatically over the last <br /> decade and has been further exacerbated by the COVID-19 Pandemic. <br /> b. Residents of the Tri-Valley have limited access to immediate mental health services, often resulting <br /> in individuals and families calling 911, utilizing an emergency room for immediate treatment, <br /> navigating a complicated delivery system, or waiting until an appointment with their provider is <br /> available. <br /> c. To address this growing need and lack of access, Axis has proposed the innovative solution of <br /> creating a Mental Health Urgent Care Center which will be available to all members of the <br /> community, regardless of income or insurance status. <br /> d. The City of Dublin along with the Cities of Livermore and Pleasanton, want to support this solution <br /> by contributing to the financial cost of the Mental Health Urgent Care Center, and have entered into <br /> a Memorandum of Understanding clarifying the funding responsibilities of each entity, with the City <br /> of Dublin serving as the fiduciary agent and contracting agency with Axis. <br /> Section 1. SERVICES. Subject to the terms and conditions set forth in this Agreement, Axis shall <br /> provide services described in the Scope of Work attached as Exhibit A at the time and place and in the <br /> manner specified therein. In the event of a conflict in or inconsistency between the terms of this Agreement <br /> and Exhibit A, the Agreement shall prevail. <br /> 1.1 Term of Services. The term of this Agreement shall begin on the Effective Date and shall <br /> end on June 30, 2022. Axis shall provide the work described in Exhibit A on or before that <br /> date, unless the term of the Agreement is otherwise terminated or extended, as provided <br /> for in Section 8. <br /> 1.2 Standard of Performance. Axis shall perform all services required pursuant to this <br /> Agreement in the manner and according to the standards observed by a competent <br /> practitioner of the profession in which Axis is engaged. <br /> Consulting Services Agreement between City of Dublin and April 1, 2021 <br /> Axis Community Health for Mental Health Urgent Care Services Pilot Program Page 1 of 13 <br />
