ATTACHMENT #1 <br /> Contract#2019416 <br /> THIRD AMENDMENT TO AGREEMENT <br /> This Third Amendment to Agreement("Third Amendment") is entered into this day of February <br /> 2021, by the City of Pleasanton("City")and WRA, Inc. ("Consultant"). <br /> Whereas, on June 20, 2019 the City and Consultant entered into a Professional Services <br /> Agreement for Waterway Assessments for City stream sections and stormwater detention ponds, which <br /> was amended by the First Amendment dated January 27, 2020 to add additional work for Stream and <br /> Pond Maintenance Program and Biological Support and Regulatory Agency Permitting(collectively the <br /> "Agreement"); and <br /> Whereas,the parties entered into a Second Amendment dated September 17, 2020 to include <br /> additional services for Stream and Pond Routine Maintenance and Permitting; and <br /> Whereas,the parties desire to amend the Agreement by adding additional services in the amount <br /> of$17,400 for the total compensation of said Agreement to $274,304 and extend the term of the <br /> agreement for an additional six months. <br /> Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br /> the parties agree as follows: <br /> 1. Section 1 of the Agreement "Consultant Services"(Term and Schedule) is amended to <br /> add the additional services described in the attached Exhibit A - 3: <br /> 2. Section 3 of the Agreement"Terms" shall be extended and expire on December 31, <br /> 2021: <br /> 3. Section 4 of the Agreement"Compensation" is amended to add the cost of the additional <br /> services of$17,400, andtotal compensation shall not exceed $274,304. <br /> 4. This Third Amendment may be executed in multiple counterparts, each of which shall be <br /> an original and all of which together shall constitute one agreement. Counterparts may <br /> be delivered via facsimile, electronic mail (including pdf or any electronic signature <br /> complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br /> Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.), or other <br /> applicable law) or other transmission method, and any counterpart so delivered shall be <br /> deemed to have been duly and validly delivered and be valid and effective for all <br /> purposes. <br /> 5. All other terms and conditions of the Agreement shall remain in full force and effect. <br /> In witness whereof, authorized representatives of the parties have executed this Third Amendment to the <br /> Agreement as of the date and year first above written. <br /> First Amendment Page 1 <br />
