ATTACHMENT #1 Contract#2019416 THIRD AMENDMENT TO AGREEMENT This Third Amendment to Agreement("Third Amendment") is entered into this day of February 2021, by the City of Pleasanton("City")and WRA, Inc. ("Consultant"). Whereas, on June 20, 2019 the City and Consultant entered into a Professional Services Agreement for Waterway Assessments for City stream sections and stormwater detention ponds, which was amended by the First Amendment dated January 27, 2020 to add additional work for Stream and Pond Maintenance Program and Biological Support and Regulatory Agency Permitting(collectively the "Agreement"); and Whereas,the parties entered into a Second Amendment dated September 17, 2020 to include additional services for Stream and Pond Routine Maintenance and Permitting; and Whereas,the parties desire to amend the Agreement by adding additional services in the amount of$17,400 for the total compensation of said Agreement to $274,304 and extend the term of the agreement for an additional six months. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement "Consultant Services"(Term and Schedule) is amended to add the additional services described in the attached Exhibit A - 3: 2. Section 3 of the Agreement"Terms" shall be extended and expire on December 31, 2021: 3. Section 4 of the Agreement"Compensation" is amended to add the cost of the additional services of$17,400, andtotal compensation shall not exceed $274,304. 4. This Third Amendment may be executed in multiple counterparts, each of which shall be an original and all of which together shall constitute one agreement. Counterparts may be delivered via facsimile, electronic mail (including pdf or any electronic signature complying with U.S. federal E-Sign Act of 2000 (15 U.S. Code §7001 et seq.), California Uniform Electronic Transactions Act(Cal. Civil Code §1633.1 et seq.), or other applicable law) or other transmission method, and any counterpart so delivered shall be deemed to have been duly and validly delivered and be valid and effective for all purposes. 5. All other terms and conditions of the Agreement shall remain in full force and effect.
