ATTACHMENT #1 MAINTENANCE AND AS NEEDED SERVICES AGREEMENT WEED ABATEMENT SERVICES PROJECT NO. OSD — 2020-302 THIS AGREEMENT is made and entered into this first day of October 2020 between Terra Landscape ("Contractor"), whose address is 463 Rolland Way, Oakland CA 94621 and the City of Pleasanton, a municipal corporation ("City"). RECITALS A. Contractor is qualified and experienced in providing annual weed abatement landscape services at various street right-of-ways, City owned lots, and open space locations, set forth as described in Scope of Work/Scheduled Deliverables in Project No. OSD (RFP) 2020-302 Weed Abatement Services. B. City finds it necessary and advisable to obtain work from Contractor on both a scheduled maintenance basis, as well as on an as -needed basis for improvements for the identified locations in the "Weed Abatement Map Book" provided by the Parks Superintendent. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Term. The term of this Agreement commences on the date written above and will expire on June 30, 2023. The parties may extend this Agreement, by Amendment, for additional two (2), one-year terms, not to exceed five (5) years for the total Agreement. 2. Services to be Performed. The work will generally consist of weed abatement landscape services and related activities as described in the following documents of Project No. (RFP) OSD 2020-302 Weed Abatement Services, under scope of work/scheduled deliverables services: A. Plans and specifications entitled thereto if any. B. Contract Amendments approved by the City Council and/or City Manager. C. The proposal submitted to the City by the Contractor. �. Compensation. A. Annual compensation for scheduled maintenance, as described in Section 2, above, shall be as set forth in Contractor's bid sheet Exhibit A, and with as -needed work, total compensation each year shall not exceed: FY 2020/21 - $125,000 FY 2021/22 - $150,000 FY 2022/23 - $150,000 B. Compensation for an individual Work Authorization for as -needed work shall not exceed $45,000 without prior authorization of Parks Superintendent. C. Payment shall be made within thirty (30) days of receipt of Contractor's invoice and approval by City.
