ATTACHMENT 2 <br />FIRST AMENDMENT TO AGREEMENT <br />This First Amendment to Agreement ("First Amendment") is entered into this 6th day of October 2020 <br />by the City of Pleasanton ("City") and Quincy Engineering ("Consultant") <br />Whereas, on August 15, 2017, the City and Quincy Engineering entered into a Professional <br />Services Agreement for engineering services ("Agreement"); and <br />Whereas, the parties desire to amend to the contract, extending the term of the contract to <br />December 31, 2021; <br />Whereas, the parties desire to amend to the contract, adding to the Scope of Work "Exhibit A" <br />the proposal from Quincy Engineering dated July 12, 2020; <br />Whereas, the parties desire to amend to the contract, increasing the fee for services from <br />$158,928 to $258,358; <br />Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br />the parties agree as follows: <br />Section 1 of the Agreement, "Consultant's Services" is amended to include to Exhibit <br />"A", Scope of Work: <br />Quincy Engineering proposal for additional services dated July 12, 2020. <br />2. Section 3 of the Agreement, " Term" is amended to read: <br />Term The term of the Agreement is extended to December 31, 2021. <br />3. Section 5 of the Agreement, "Compensation" is amended to read: <br />Compensation Total compensation for services and reimbursement for costs shall not <br />exceed $258,358 unless parties agree pursuant to Section 8, below. <br />4. All other terms and conditions of the Agreement shall remain in full force and effect. <br />5. This amendment may be executed in multiple counterparts, each of which shall be an <br />original and all of which together shall constitute one agreement. Counterparts may be <br />delivered via facsimile, electronic mail (including pdf or any electronic signature <br />complying with U.S. federal E -Sign Act of 2000 (15 U.S. Code §7001 et seq.), California <br />Uniform Electronic Transactions Act (Cal. Civil Code §1633.1 et seq.), or other <br />applicable law) or other transmission method, and any counterpart so delivered shall be <br />deemed to have been duly and validly delivered and be valid and effective for all <br />purposes. <br />First Amendment, CIP 15525 Page 1 <br />
