FIRST AMENDMENT TO PROFESSIONAL SERVICES AGREEMENT <br /> THIS FIRST AMENDMENT TO THE PROFESSIONAL SERVICES <br /> AGREEMENT is entered into this 18 day of August, 2020, by and between the CITY OF <br /> PLEASANTON, a municipal corporation("City"), and BURKE,WILLIAMS & <br /> SORENSEN,LLP ("Consultant"). <br /> RECITALS <br /> WHEREAS,the City and Consultant entered into a Professional Services Agreement <br /> ("Agreement")dated October 31, 2018, and a First Amendment on Jun 16, 2020 under which <br /> Consultant agreed to provide the City legal advice on labor and employment matters on an as <br /> needed basis for an agreed compensation by the City; and <br /> WHEREAS,the parties wish to increase the not to exceed total compensation contained <br /> in the Agreement by an additional $100,000. <br /> AGREEMENT <br /> NOW THEREFORE,the City and Consultant agree as follows: <br /> 1. The first sentence of section 4 of the Agreement, Compensation, shall be amended as <br /> follows: "City shall pay Consultant for services rendered pursuant to this Agreement <br /> at an hourly rate set forth in Attachment A in an amount not to exceed $250,000." <br /> 2.
