Attachment 1 ❑ Exhibits A&B ❑ Certificate(s)of Insurance ❑ Professional Liability Insurance ❑ W-9 AS-NEEDED PROFESSIONAL SERVICES AGREEMENT This As-Needed Professional Services Agreement("Agreement") is entered into this day of 2020 between the CITY OF PLEASANTON, a municipal corporation ("City"), and Pakpour Consulting Group, Inc. whose address is 5776 Stoneridge Mall Road, Suite 320,Pleasanton,CA 94588,and telephone number is(925)224-7717, ("Consultant"). RECITALS A. Consultant is qualified and experienced in civil engineering for the purposes specified in this Agreement. B. City finds it necessary and advisable to have the Consultant available to provide as-needed services to support the MCl/Verizon fiber installation as described in this Agreement. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Consultant's Services. Consultant shall provide civil engineering for the City as requested by the City on an as-needed basis pursuant to work associated with MCI/Verizon fiber installation. This Agreement does not obligate the City to utilize Consultant exclusively for these services,and the City reserves the right to select other consultants for these services based on City need. City guarantees no level of work to be directed to Consultant. 2. City.Assistance. In order to assist Consultant in this work, City shall provide, if necessary, documents available to the City,and access to any sites as needed,as related to individual work authorizations. 3. Staff. Consultant shall assign Steven Yee to serve as Project Manager, who may not be replaced without written consent of City. 4. Term. The term of the Agreement shall run from May 1, 2020 to December 31, 2021. At the sole discretion of the City,the contract may be extended an additional one year for a maximum term through December 31,2022. 5. Compensation. For the as-needed services to be rendered, City shall pay Consultant on a time-and materials basis with rates set forth in Exhibit A. The consultant hourly rates set forth in Exhibit A may adjusted annually based on mutual agreement of the parties following the change in Engineers News Record Construction Index for San Francisco CA for All Items with such adjustment set forth in writing and capped at 5%annually. Total compensation under this Agreement shall not exceed$375,000. a. Invoices submitted to City must contain a brief description of work performed,percentage of work completed,percentage of Agreement amount expended, hours billed per utility permit with 5/16 Page 1 of 7
