Attachment 1 <br /> ❑ Exhibits A&B <br /> ❑ Certificate(s)of Insurance <br /> ❑ Professional Liability Insurance <br /> ❑ W-9 <br /> AS-NEEDED PROFESSIONAL SERVICES AGREEMENT <br /> This As-Needed Professional Services Agreement("Agreement") is entered into this <br /> day of 2020 between the CITY OF PLEASANTON, a municipal corporation <br /> ("City"), and Pakpour Consulting Group, Inc. whose address is 5776 Stoneridge Mall Road, <br /> Suite 320,Pleasanton,CA 94588,and telephone number is(925)224-7717, ("Consultant"). <br /> RECITALS <br /> A. Consultant is qualified and experienced in civil engineering for the purposes <br /> specified in this Agreement. <br /> B. City finds it necessary and advisable to have the Consultant available to provide <br /> as-needed services to support the MCl/Verizon fiber installation as described in this Agreement. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Consultant shall provide civil engineering for the City as <br /> requested by the City on an as-needed basis pursuant to work associated with MCI/Verizon fiber <br /> installation. This Agreement does not obligate the City to utilize Consultant exclusively for <br /> these services,and the City reserves the right to select other consultants for these services based <br /> on City need. City guarantees no level of work to be directed to Consultant. <br /> 2. City.Assistance. In order to assist Consultant in this work, City shall provide, if <br /> necessary, documents available to the City,and access to any sites as needed,as related to <br /> individual work authorizations. <br /> 3. Staff. Consultant shall assign Steven Yee to serve as Project Manager, who may <br /> not be replaced without written consent of City. <br /> 4. Term. The term of the Agreement shall run from May 1, 2020 to December 31, <br /> 2021. At the sole discretion of the City,the contract may be extended an additional one year for <br /> a maximum term through December 31,2022. <br /> 5. Compensation. For the as-needed services to be rendered, City shall pay <br /> Consultant on a time-and materials basis with rates set forth in Exhibit A. The consultant hourly <br /> rates set forth in Exhibit A may adjusted annually based on mutual agreement of the parties <br /> following the change in Engineers News Record Construction Index for San Francisco CA for <br /> All Items with such adjustment set forth in writing and capped at 5%annually. Total <br /> compensation under this Agreement shall not exceed$375,000. <br /> a. Invoices submitted to City must contain a brief description of work performed,percentage of <br /> work completed,percentage of Agreement amount expended, hours billed per utility permit with <br /> 5/16 Page 1 of 7 <br />
