Insurance shall be placed with insurers with a Bests' rating of not less than A:VI. Self-insured retentions, policy terms or other variations that do not comply with the requirements of this Section 5 must be declared to and approved by the Grantor in writing prior to execution of this Agreement. E. Verification of Coverage (1) Grantee shall furnish Grantor with certificates and required endorsements evidencing the insurance required. The certificates and endorsements shall be forwarded to the Grantor representative named below in this Section 5. Copies of policies shall be delivered to the Grantor on demand. Certificates of insurance shall be signed by an authorized representative of the insurance carrier. (2) For all insurance policy renewals during the term of this Agreement, Grantee shall send insurance certificates reflecting the policy renewals directly to: Grantor c/o City of Pleasanton P.O. Box 520 Pleasanton, CA 94566 F. Subcontractors Grantee shall require and verify that all sub-consultants and subcontractors maintain insurance coverage that meets the minimum scope and limits of insurance coverage specified in subsection A, above. 6. Indemnity. Grantee and its successors and assigns shall indemnify, defend and hold harmless the Grantor, its officials, employees and agents from any loss, claims, liability, or expenses, including reasonable attorneys' fees and costs, for personal injury or death, or property damage, arising out of or in connection with the activities of Grantee, and its employees, contractors, consultants or agents in the performance of the Requirements. 7. Grantor Remedies for Grantee Failure to Perform Obligations. If, in the reasonable judgment of the Director of Community Development of Grantor or his or her designee, Grantee or its successors and assigns has failed to comply with the Requirements, Grantor may perform such maintenance as is necessary to comply, at its option, after providing thirty (30) days' prior written notice to the Grantee of such failure to comply with the Requirements and providing Grantee with an opportunity to complete such maintenance. The notice to Grantee shall be sent by certified mail, return receipt requested,and addressed to: Sun Meadowlark Estates Owners Association c/o Sun Meadowlark,LLC 4305 Hacienda Drive, Suite 430 Pleasanton,CA 94588 or to such other address as the Grantee may notify Grantor in writing. Notices required hereunder shall be deemed effective upon the earlier of(i) execution and delivery of the return receipt or(ii)five (5)days after mailing. In such event, the Grantor's performance of such maintenance shall be at the Grantee's sole expense. The Grantee shall, within ten (10) business days of written demand by the Grantor, shall pay to the Grantor all reasonable expenses incurred by the Grantor in the performance of such 5
