Insurance shall be placed with insurers with a Bests' rating of not less than A:VI. Self-insured <br /> retentions, policy terms or other variations that do not comply with the requirements of this Section 5 <br /> must be declared to and approved by the Grantor in writing prior to execution of this Agreement. <br /> E. Verification of Coverage <br /> (1) Grantee shall furnish Grantor with certificates and required endorsements evidencing the <br /> insurance required. The certificates and endorsements shall be forwarded to the Grantor representative <br /> named below in this Section 5. Copies of policies shall be delivered to the Grantor on demand. <br /> Certificates of insurance shall be signed by an authorized representative of the insurance carrier. <br /> (2) For all insurance policy renewals during the term of this Agreement, Grantee shall send <br /> insurance certificates reflecting the policy renewals directly to: <br /> Grantor <br /> c/o City of Pleasanton <br /> P.O. Box 520 <br /> Pleasanton, CA 94566 <br /> F. Subcontractors <br /> Grantee shall require and verify that all sub-consultants and subcontractors maintain insurance <br /> coverage that meets the minimum scope and limits of insurance coverage specified in subsection A, <br /> above. <br /> 6. Indemnity. Grantee and its successors and assigns shall indemnify, defend and hold <br /> harmless the Grantor, its officials, employees and agents from any loss, claims, liability, or expenses, <br /> including reasonable attorneys' fees and costs, for personal injury or death, or property damage, <br /> arising out of or in connection with the activities of Grantee, and its employees, contractors, <br /> consultants or agents in the performance of the Requirements. <br /> 7. Grantor Remedies for Grantee Failure to Perform Obligations. If, in the reasonable <br /> judgment of the Director of Community Development of Grantor or his or her designee, Grantee or its <br /> successors and assigns has failed to comply with the Requirements, Grantor may perform such <br /> maintenance as is necessary to comply, at its option, after providing thirty (30) days' prior written <br /> notice to the Grantee of such failure to comply with the Requirements and providing Grantee with an <br /> opportunity to complete such maintenance. The notice to Grantee shall be sent by certified mail, <br /> return receipt requested,and addressed to: <br /> Sun Meadowlark Estates Owners Association <br /> c/o Sun Meadowlark,LLC <br /> 4305 Hacienda Drive, Suite 430 <br /> Pleasanton,CA 94588 <br /> or to such other address as the Grantee may notify Grantor in writing. Notices required hereunder shall <br /> be deemed effective upon the earlier of(i) execution and delivery of the return receipt or(ii)five (5)days <br /> after mailing. In such event, the Grantor's performance of such maintenance shall be at the Grantee's <br /> sole expense. The Grantee shall, within ten (10) business days of written demand by the Grantor, shall <br /> pay to the Grantor all reasonable expenses incurred by the Grantor in the performance of such <br /> 5 <br />
