CCA Program becomes operational, these Initial Costs paid by the County <br />and any specified interest shall be included in the customer charges for <br />electric services to the extent permitted bylaw, and the County shall be <br />reimbursed from the payment of such charges by customers of the <br />Authority. The Authority may establish a reasonable tune period over <br />which such costs are recovered. In the event that the CCA Program does <br />not become operational, the County shall not be entitled to any <br />reimbursement of the Initial Costs. <br />6.3.4 Additional Contributions and Advances. Pursuant to Government Code <br />Section 6504, the Parties may in their sole discretion make financial <br />contributions, Loans or advances to the Authority for the purposes of the <br />Authority set forth in this Agreement. She repayment of such <br />contributions, loans or advances will be on the written terms agreed to by <br />the Party making the contribution, loan or advance and the Authority. <br />ARTICLE 7 <br />WITHDRAWAL AND TERMINATION <br />7.1 Wfthdrawal. <br />_--.___� <br />7.1.1 General Right to Withdraw. A Party maywithdraw its membership in <br />the Authority, effective as of the beginning of the Authority's fiscal year, <br />by giving no less than 180 days advance written notice of its election to do <br />so, which notice shall be given to the Authority and each Party. <br />Withdrawal of a Party shall require an affimnative vote of the Party's <br />governing board. <br />7.1.2 Withdrawal Following Amendment. Notwithstanding Section 7.1. l , a <br />Party may withdraw its membership in the Authority following an <br />amendment. to flus Agreement provided that the requirements of this <br />Section 7.1.2 are strictly followed. A Party shall be deemed to have <br />withdrawn its membership in the Authority effective 180 days after the <br />Board approves an amendment to this Agreement if the Direcior <br />representing such Party has provided notice to the other Directors <br />immediately preceding the Board's vote of the Party's intention to <br />withdraw its membership in the Authority should the amendment be <br />approved by the Board. <br />7.1.3 The Right to Withdraw Prior to Program Launch. After receiving bids <br />from power suppliers for the CCA Program, the Authority must provide to <br />the Parties a report from the electrical utility consultant retained by the <br />Authority comparing the Authority's total estimated electrical rates, the <br />estimated greenhouse gas emissions rate and the amount of estimated <br />renewable energy to be used with that of the incumbent utility. Within 30 <br />days after receiving this report, through its City Manages or a person <br />expressly authorized by the Party, .any Party may immediately withdraw <br />Docembe�r I, 2016 -16- <br />
