The EBCE Board also has anon -voting representative from acitizen-run Community <br />Advisory Committee (CAC). The nine CAC members hail from EBCE's service territory <br />and are appointed by the EBCE Board of Directors as community stakeholders that <br />provide guidance and recommendations to the Board. Typically, the CAC members <br />have stakeholder categories they are particularly interested in (e.g., environmental <br />justice, public health). The CAC representative to the Board can participate at Board <br />meetings but cannot vote. This individual, however, acts as a conduit to the Board for <br />ratepayer concerns. <br />When the EBCE Board wants to vote on a topic, there are two types of votes. The first <br />tier of voting is the Percentage Vote. One vote per member and the majority wins. The <br />second tier is the Voting Shares Vote. Each member's voting share is based on its load <br />size. "In addition to and immediately after an affirmative percentage vote, three or more <br />Directors may request that a vote of voting share shall be held." If more than 50% of <br />EBCE's load size affirms the vote, the original motion passes, otherwise it fails. The <br />Voting Shares Vote may also be invoked on a tie Percentage Vote by three or more <br />Directors. In this case, an action may be approved on an affirmative Voting Shares Vote <br />without an affirmative Percentage Vote. <br />Figure 3 —Alameda County Jurisdiction Electricity Loads <br />SAN LEANDRO <br />6% <br />INCORPORATED <br />6% <br />LIVERMORE <br />6% <br />Figure 3 depicts the weight -based voting percentage based on load size, if the City of <br />Pleasanton were to join based on data from October 2016. It shows Pleasanton's <br />percentage as 7%. Along with Livermore's 6% and Dublin's increasing population size, <br />the Tri -Valley will certainly have a large say at the decision-making table. Hypothetically, <br />if the three cities did not agree with other jurisdictions on the other side of the East Bay <br />Hills, the Tri -Valley cities can team up and influence the conversation. If Pleasanton did <br />join EBCE, it would be up to the Pleasanton member on the Board of Directors to work <br />with Livermore and Dublin to pool our weight -based voting as necessary. <br />Page 18 of 20 <br />
