ATTACHMENT 1 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this June 30, 2019 by the City of Pleasanton ("City") and Folger Graphics ("Contractor") Whereas, on July 1, 2016, the City and Folger Graphics entered into an Agreement for printing services ("Agreement"); and Whereas,[the agreement for services is set to expire on June 30, 2019]; and Whereas,the parties desire to amend the Agreement; Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 3 of the Agreement, "Staff' is amended to read: Folger Graphics is updating its contact name to Kirk Folger (due to Bill Briggs' retirement.) Section 6 of the Agreement, "Terms" is amended to read: The term of this agreement is extended for one (1)year through June 30, 2020. Section 6a of the Agreement, "Terms - Agreement Renewal" is amended to read: The City and Contractor retain the right to renew the term of this Agreement for an additional one-year period, or until June 30, 2021. This agreement may be renewed only by mutual agreement between the parties involved. Either party which wants to renew the Agreement shall provide the other party with written notice by March 1, 2020. The party receiving the request to renew shall respond to the other party in writing within five (5) business days of whether or not the offer to renew is accepted. Each party retains the right to not renew the Agreement at the time of the request. If the parties agree to extend the term of the Agreement, any changes in compensation shall be based as set forth in Section 7, below. Section 7 of the Agreement, "Compensation" is amended to read: For services to be rendered hereunder, City shall pay contractor annually up to a not- to-exceed amount of$69,000.00 as described more particularly in Exhibit A. This includes additional work done prior to June 30, 2019, in the amount of$815.24. The annual payment shall be pro-rated by the number of Activities Guides and their sizes and made three times a year, after delivery of the Activities Guide to the Pleasanton Post Office, upon receipt of Contractor's invoice, and the approval of the Director of Library and Recreation Department or the Director's designee,for each Activities Guide. Section 7a of the Agreement, "Compensation" is amended to read: Should the agreement be renewed for an additional year, City may consider a price adjustment for the cost of paper only, not to exceed 4%per fiscal year, when specifically requested in writing by Contractor, and with reasonable proof provided by the Contractor to the City that a price increase is necessary.
