ATTACHMENT 3 <br /> ARCHITECTURAL SERVICES AGREEMENT <br /> THIS AGREEMENT is entered into this 16th day of July 2019, between the CITY OF <br /> PLEASANTON, a municipal corporation("City"), and ATI-AC Martin whose address is 4750 <br /> Willow Road, Suite 25, Pleasanton, CA 94588, and telephone number is925 648-8800, <br /> ("Consultant"). <br /> RECITALS <br /> A. Consultant is qualified and experienced in providing architectural services for the <br /> purposes specified in this Agreement. <br /> B. City finds it necessary and advisable to use the services of Consultant for the <br /> purposes provided in this Agreement. <br /> NOW,THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Consultant's Services. Consultant shall diligently perform the services and <br /> furnish the materials, reports, drawings, and related materials described in Exhibit A, Scope of <br /> Work, attached and incorporated to the extent consistent with this Agreement. <br /> 2. City Assistance. In order to assist Consultant in this work, City shall provide <br /> access to the site and record information. <br /> 3. Staff. Consultant shall assign Deborah Lesnefska to serve as project manager, <br /> who may not be replaced without written consent of City. <br /> 4. Term. Time is of the essence. The work as described in Exhibit A, Scope of <br /> Work, shall be completed by December 1, 2020. <br /> 5. Compensation. For the services to be rendered for this Agreement, City shall <br /> pay Consultant on a time and material basis, as described more particularly in Exhibit A which is <br /> attached and incorporated to the extent consistent with this Agreement. Total compensation for <br /> services and reimbursement for costs shall not exceed $86,450 unless the parties agree to a <br /> change in compensation as provided in Section 8, below. <br /> a. Payment will be made by the City in the following manner: On the first <br /> business day of each month, Consultant shall submit a written estimate of the total amount of <br /> work done the previous month. Payment shall be made for 95% of the value of the work. The <br /> City shall retain up to 5%of the value of the work as partial security for the completion of the <br /> work by Consultant. Retained amounts for the various phases of work shall be paid to <br /> Consultant within thirty days after satisfactory completion of each of the various phases of work <br /> and within thirty days of acceptance by the City of the project or thirty days after beneficial <br /> occupancy of the building whichever is earlier. Release of retained amounts by the City will not <br /> be withheld for reasons not related to the Consultant's performance. Payment shall not be <br /> construed as acceptance of defective work. No interest will be paid to Consultant on retained <br /> funds. <br /> Page 1 of 8 <br />
