additional five (5) year term ("Extended Term") after the Term expires. The Extended <br /> Term shall be deemed exercised by Lessee with at least ninety (90) days but not <br /> more than one hundred eighty (180) days prior written notice to the Cities of its intent <br /> to exercise this right of an Extended Term. The Cities shall provide written <br /> authorization formally approving the final five year term. If Lessee is in material <br /> default beyond the applicable cure under the Lease at the time of exercising its <br /> option to extend the Term of the Lease, the option notice shall be ineffective and <br /> Lessee shall have no right to extend the Term. The Base Rent for the Extended <br /> Term shall Increase as set forth in Paragraph 5(c) of the Lease. The Initial Term and <br /> the Extended Term are collectively referred to as the "Term". <br /> 5. Other Terms and Conditions Remain. In the event of any <br /> inconsistencies between the Lease and this Second Amendment, the terms of this <br /> Second Amendment shall control. Except as expressly set forth in this Second <br /> Amendment, the Lease otherwise is unmodified and remains in full force and effect. <br /> 6. Capitalized Terms.
