ATTACHMENT #1 <br /> MAINTENANCE AND EMERGENCY RESPONSE SERVICES <br /> AGREEMENT <br /> STREET,PARKING LOT AND PATHWAY LIGHT <br /> MAINTENANCE SERVICE <br /> PROJECT NO. OSD— 19-401 <br /> THIS AGREEMENT is made and entered into this day of 2019 between <br /> Vista,Universal,Inc.("Contractor")a California corporation,whose address is 2430 American Avenue, <br /> Hayward,CA 94545 and the City of Pleasanton,a municipal corporation("City"). <br /> RECITALS <br /> A. Contractor is qualified and experienced in providing street,parking lot and pathway light <br /> maintenance and repair services set forth in Exhibit A of this Agreement. <br /> B. City finds it necessary and advisable to obtain work from Contractor on both a scheduled <br /> maintenance basis,as well as on an as-needed basis for emergency repairs or other unscheduled <br /> maintenance or improvements for street,parking lot and pathway lights. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this <br /> Agreement, City and Consultant agree as follows: <br /> 1. Term. The term of this Agreement commences on the date written above and will expire <br /> three(3)years from that date. The parties may extend this Agreement,by Amendment,for additional two <br /> (2), one-year terms,not to exceed five(5)years for the total Agreement. If extended by Amendment,the <br /> cost of each one-year term may increase only by the change in the consumer price index for the San <br /> Francisco-Oakland-San Jose Metropolitan Area(all items index; all urban consumers)for the twelve(12) <br /> month period ending in March each year as published by the Bureau of Labor Statistics,U.S.Department <br /> of Labor. <br /> 2. Services to be Performed. <br /> Scheduled Maintenance. Contractor shall perform,or cause to be performed,the street light, <br /> parking lot and pathway light routine maintenance and emergency response services described in Exhibit <br /> A. <br /> Emergency Response. Contractor may also be asked to perform extra emergency repairs work <br /> for the City's street lights,parking lot lights and pathway lights as described in Exhibit A. When <br /> requested by the City to perform such emergency work, Contractor will submit a written estimate <br /> detailing the cost to perform the requested emergency work. If the Contractor's estimate is agreeable to <br /> the City,the City shall issue a Work Authorization Letter detailing the emergency work to be performed <br /> and setting forth the compensation to be paid to Contractor. Work Authorization Letters shall be signed <br /> by the City and the Contractor prior to commencement of such emergency work. <br /> This Agreement does not obligate the City to utilize Contractor exclusively for such extra <br /> emergency work. The City reserves the right to select other contractors for such emergency work as the <br /> City desires. <br /> 1 <br />
