ATTACHMENT #1 MAINTENANCE AND EMERGENCY RESPONSE SERVICES AGREEMENT STREET,PARKING LOT AND PATHWAY LIGHT MAINTENANCE SERVICE PROJECT NO. OSD— 19-401 THIS AGREEMENT is made and entered into this day of 2019 between Vista,Universal,Inc.("Contractor")a California corporation,whose address is 2430 American Avenue, Hayward,CA 94545 and the City of Pleasanton,a municipal corporation("City"). RECITALS A. Contractor is qualified and experienced in providing street,parking lot and pathway light maintenance and repair services set forth in Exhibit A of this Agreement. B. City finds it necessary and advisable to obtain work from Contractor on both a scheduled maintenance basis,as well as on an as-needed basis for emergency repairs or other unscheduled maintenance or improvements for street,parking lot and pathway lights. NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, City and Consultant agree as follows: 1. Term. The term of this Agreement commences on the date written above and will expire three(3)years from that date. The parties may extend this Agreement,by Amendment,for additional two (2), one-year terms,not to exceed five(5)years for the total Agreement. If extended by Amendment,the cost of each one-year term may increase only by the change in the consumer price index for the San Francisco-Oakland-San Jose Metropolitan Area(all items index; all urban consumers)for the twelve(12) month period ending in March each year as published by the Bureau of Labor Statistics,U.S.Department of Labor. 2. Services to be Performed. Scheduled Maintenance. Contractor shall perform,or cause to be performed,the street light, parking lot and pathway light routine maintenance and emergency response services described in Exhibit A. Emergency Response. Contractor may also be asked to perform extra emergency repairs work for the City's street lights,parking lot lights and pathway lights as described in Exhibit A. When requested by the City to perform such emergency work, Contractor will submit a written estimate detailing the cost to perform the requested emergency work. If the Contractor's estimate is agreeable to the City,the City shall issue a Work Authorization Letter detailing the emergency work to be performed and setting forth the compensation to be paid to Contractor. Work Authorization Letters shall be signed by the City and the Contractor prior to commencement of such emergency work. This Agreement does not obligate the City to utilize Contractor exclusively for such extra emergency work. The City reserves the right to select other contractors for such emergency work as the City desires. 1
