ATTACHMENT 1 THIRD AMENDMENT TO AGREEMENT This third Amendment to Agreement ("Third Amendment") is entered into this 4th day of September 2018 by the City of Pleasanton("City") and Economic & Planning Systems, Inc. (EPS) ("Consultant"). Whereas, on October 20, 2015 the City and Consultant entered into a Professional Services Agreement for development impact fee analysis, recommendations, presentations and report services ("Agreement"); and Whereas,on March 9, 2017 the City and Consultant entered into a first amendment to the contract to extend the expiration date to October 27, 2017; and Whereas,on May 1, 2018 the City and Consultant entered into a second amendment to increase compensation for services by$10,000 and to extend the expiration date to October 19, 2018; and Whereas,the total compensation for services in the original contract was not to exceed $145,070; and Whereas,the parties desire to amend to the Agreement; Now,therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 4. Compensation, is amended to read: "Total Compensation for services and reimbursement for costs shall not exceed $160,070." 2. All other terms and conditions of the Agreement shall remain in full force and effect. In witness whereof, authorized representatives of the parties have executed this Third Amendment to the Agreement as of the date and year first above written.
