ATTACHMENT#1 THIRD AMENDMENT TO AGREEMENT This Third Amendment to Agreement ("Third Amendment") is entered into this 1st day of July 2018 by the City of Pleasanton("City") and S.D. Electric Inc., ("Contractor"). Whereas, on July 1, 2015 the City and S.D. Electric Inca entered into an "As Needed Maintenance and Trade Services Agreement" ("Agreement"); Whereas, the First Amendment to this contract, entered into on July 1, 2016, extended the Term to June 30, 2017; and Whereas, the Second Amendment to this contract, entered into on July 1, 2017, extended the Term to June 30, 2018 and increased contractor's hourly labor rates; and Whereas, the parties desire to extend the term of the As Needed Maintenance and Trade Services Agreement for one additional year; Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the "As Needed Maintenance and Trade Services Agreement" is amended to read: The term of this Agreement is amended to extend the As Needed Maintenance and Trade Services Agreement" until June 30, 2019. 2. Section 3 "Compensation"is amended to reflect increased rates for Prevailing Wage and from the November 2016 Engineering News Records Construction Cost Index for the Northern California region. 3. All other terms and conditions of the Agreement shall remain in full force and effect.
