ATTACHMENT#1 <br /> STANDARD SERVICES AGREEMENT <br /> THIS AGREEMENT is entered into this day of 201_, between the CITY <br /> OF PLEASANTON, a municipal corporation ("City"), and PSC Industrial Outsourcing, LP (dba <br /> HydroChemPSC) whose address is 3170 Crow Canyon Place, #250, San Ramon, CA 94583-1346, and <br /> telephone number is (408) 761-5237, ("Contractor"). <br /> RECITALS <br /> A. Contractor is qualified and experienced in providing the work or services set forth in Exhibit A of this <br /> Agreement. <br /> B. City finds it necessary and advisable to obtain work or services from Contractor on an as-needed basis. <br /> NOW THEREFORE, in consideration of the mutual covenants and conditions in this Agreement, <br /> City and Contractor agree as follows: <br /> 1. Term. The term of this Agreement commences on the date written above and will expire three(3) <br /> years from that date unless the parties agree to extend the Agreement for two (2) additional one- <br /> year terms. <br /> 2. Services to be performed. Contractor will perform,or cause to be performed,the work or services <br /> described in Exhibit A. This Agreement does not obligate the City to utilize Contractor exclusively <br /> for such work or services. <br /> When requested by the City,Contractor will submit a written estimate detailing the cost to perform <br /> the requested work or services. If the Contractor's estimate is agreeable to the City, the City will <br /> issue a Work Authorization detailing the work or services to be performed and setting forth the <br /> compensation to be paid to Contractor. <br /> 3. Compensation.Total compensation under this Agreement for all cumulative Work Authorizations <br /> shall not exceed $200,000, unless mutually agreed to between the parties. <br /> a. Payment will be made within thirty(30) days of receipt of Contractor's invoice and approval <br /> by City. <br /> b. If the prevailing wage for crafts or classifications subject to this Agreement change during the <br /> term of this Agreement, the City will accept corresponding increases in Contractor's hourly <br /> rates when sufficient documentation is received from the Contractor and verified with the <br /> Department of Industrial Relations. <br /> 4. Sufficiency of Contractor's Work. By executing this Agreement, Contractor warrants that all <br /> services will be performed in a competent, professional and satisfactory manner. Should <br /> Contractor discover any latent or unknown conditions, it shall immediately inform City and <br /> proceed only at its own risk until instructed by City. <br />
