from, the Property, or (ii) the failure of Developer, Developer's employees, agents, contractors, <br />subcontractors, or any person acting on behalf of or as the invitee of any of the foregoing to <br />comply with Environmental Laws, except to the extent caused by the City's gross negligence or <br />willful misconduct. The foregoing indemnity shall further apply to any residual contamination <br />in, on, under or about the Property or affecting any natural resources, and to any contamination <br />of any property or natural resources arising in connection with the generation, use, handling, <br />treatment, storage, transport or disposal of any such Hazardous Material, and irrespective of <br />whether any of such activities were or will be undertaken in accordance with Environmental <br />Laws. <br />Developer's obligation to indemnify the Indemnitees shall not be limited or impaired by <br />any of the following: (i) any amendment or modification of any City Document; (ii) any <br />extensions of time for performance required by any City Document; (iii) any provision in any of <br />the City Documents limiting City's recourse to property securing the Secured Obligations (as <br />defined in the Deed of Trust), or limiting the personal liability of Developer, or any other party <br />for payment of all or any part of the Predevelopment Loan or the Construction/Permanent Loan; <br />(iv) the accuracy or inaccuracy of any representation and warranty made by Developer under this <br />Agreement or by Developer or any other party under any City Document, (v) the release of <br />Developer or any other person, by City or by operation of law, from performance of any <br />obligation under any City Document; (vi) the release or substitution in whole or in part of any <br />security for the Predevelopment Loan or the Construction/Permanent Loan; and (vii) City's <br />failure to properly perfect any lien or security interest given as security for the Predevelopment <br />Loan or the Construction/Permanent Loan. <br />The provisions of this Section 6.7 shall be in addition to any and all other obligations and <br />liabilities that Developer may have under applicable law, and each Indemnitee shall be entitled to <br />indemnification under this Section without regard to whether City or that Indemnitee has <br />exercised any rights against the Property or any other security, pursued any rights against any <br />guarantor or other party, or pursued any other rights available under the City Documents or <br />applicable law. The obligations of Developer to indemnify the Indemnitees under this Section <br />shall survive any repayment or discharge of the Predevelopment Loan or the <br />Construction/Permanent Loan, any foreclosure proceeding, any foreclosure sale, any delivery of <br />any deed in lieu of foreclosure, and any release of record of the lien of the Deed of Trust. <br />6.8 Developer Representations. Developer represents and warrants to City that <br />except as disclosed to City in writing, Developer has no knowledge, and has received no notice <br />regarding the presence of Hazardous Materials in, on, under, or about the Property. <br />6.9 City's Rights. In the event that any portion of the Property is determined to be <br />"environmentally impaired" (as that term is defined in California Code of Civil Procedure <br />Section 726.5(e)(3)) or to be an "affected parcel" (as that term is defined in California Code of <br />Civil Procedure Section 726.5(e)(1)), then, without otherwise limiting or in any way affecting the <br />City's or the Trustee's rights and remedies under the Deed of Trust, the City may elect to <br />exercise its rights under California Code of Civil Procedure Section 726.5(a) to (1) waive its lien <br />on such environmentally impaired or affected portion of the Property and (2) exercise (a) the <br />rights and remedies of an unsecured creditor, including reduction of its claim against the <br />Developer to judgment, and (b) any other rights and remedies permitted by law.
