TERMS AND CONDITIONS 1. Payment Terms,OPTION A(100%Pre-Payment at Time of Order)—If applicable,Customer shall pay the Grand Total within fifteen(15)calendar days of date on invoice to E.J. Metals Inc. Proposed delivery timeframe for the Product shall not begin until full payment is received. If payment is late,a daily finance charge of$250.00 may be added to the final invoice until such payment is received. If payment is not made, $17,588.74 plus state sales tax shall be added to the final invoice and due E.J. Metals Inc.at time of delivery. Due to insurance liability,the Product(s)will not be left at the Customer's location without full acceptance and payment or prior written agreement between the Customer and E.J. Metals Inc. 2. Payment Terms.OPTION A(Payment at Time of Delivery)—If applicable,Customer shall pay the Grand Total at time of delivery or pick up of the Product to E.J. Metals Inc. It is the responsibility of the Customer to have full payment ready when the Product is complete and ready to deliver or pick up. If payment is late or delivery is delayed pending payment,a daily finance charge of$250.00 and a daily storage fee of$50.00 may apply until such payment is received. Due to insurance liability,the Product(s)will not be left at the Customer's location without full acceptance and payment or prior written agreement between the Customer and E.J. Metals Inc. 3. Multiple Unit Purchase—For any multiple unit purchase the Grand Total pricing is only valid if the quantity of Products being proposed are purchased at the same time, on the same Purchase Order(PO)or signed contract. In addition,the Products shall be manufactured during the same timeframe. 4. State Sales Tax—A sale occurs when the Customer takes title to or possession of an item(not when payment is received). Consequently,this proposal is subject to the applicable state sales tax rate in effect when the Product is delivered to the Customer per the delivery terms. Customer is responsible for payment of any additional taxes required, likewise Customer is entitled to a refund if the tax rate is lowered! 5. Purchase Orders—If the Customer elects to issue a Purchase Order(PO)it shall be made out to:E.J. Metals Inc.— 1201 Maple Creek Lane—New London, IM 54961. 6. Proposal Expiration-Unless accepted by the expiration date above, GSFA reserves the right to withdraw this proposal. Said apparatus and equipment are to be built and shipped in accordance with the specifications hereto attached, delays due to strikes, war, or intentional conflict, failures to obtain chassis, materials, or other causes beyond our control not preventing, within about 165 CALENDAR DAYS AFTER RECEIPT OF CHASSIS AT THE E.J. METALS FACILITY and the acceptance thereof at our office at New London, Wisconsin, and to be delivered to you at LIVERMORE-PLEASANTON, CALIFORNIA. The specifications herein contained shall form a part of the final contract, and are subject to changes desired by the purchaser, provided such alterations are interlined prior to the acceptance by the company of the order to purchase, and provided such alterations do not materially affect the cost of the construction of the apparatus. The proposal for fire apparatus conforms with all Federal Department of Transportation (DOT) rules and regulations in effect at the time of bid, and with all National Fire Protection Association (NFPA) Guidelines for Automotive Fire Apparatus as published at the time of bid, except as modified by customer specifications. Any increased costs incurred by first party because of future changes in or additions to said DOT or NFPA standards will be passed along to the customers as an addition to the price set forth above.
