ATTACHMENT#1 Contract#:15-1343C THIRD AMENDMENT TO AGREEMENT This Third Amendment to Agreement ("Third Amendment") is entered into this_day of November 2017 by the City of Pleasanton("City") and West Coast Arborist, Inc. ("Contractor") Whereas, on July 1, 2015 the City and West Coast Arborist, Inc. entered into a one year agreement for Contractor services ("Agreement"); Whereas,the First Amendment to this contract, entered into on July 1, 2016, extended the Term to June 30, 2017; Whereas, the Second Amendment to this contract entered into April 1, 2017, extended the Term to June 30, 2018 and increased the total annual compensation to a not to exceed amount of$500,997; Whereas, the parties desire to amend the FY 17/18 Agreement(currently $500,997)to a one- time increase to the total not-to-exceed amount for fiscal year ending June 30, 2018 to $750,000. Now,therefore, in exchange for valuable consideration,the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 2, "Compensation" is amended to read: The total annual compensation for fiscal year ending June 30, 2018 to be paid under this Agreement, as amended, shall not exceed $750,000. 2. Total annual compensation for the remaining two renewal periods (FY 18/19 and FY 19/20) shall be increased to a not to exceed amount of$550,000 3. All other terms and conditions of the Agreement shall remain in full force and effect. Third Amendment Page 1
