= ATTACHMENT # 1 <br /> Contract#: 2017260 <br /> FIRST AMENDMENT TO AGREEMENT <br /> This First Amendment to Agreement ("First Amendment") is entered into this_day of April 2017 by <br /> the City of Pleasanton("City") and Delta Engineering Sales, ("Contractor"). <br /> Whereas, on July 1, 2016 the City and Contractor entered into a Procurement and Installation of <br /> Automated Water Meter Infrastructure (AMI) Agreement("Agreement"). <br /> Whereas,the parties desire to increase the amount of the Agreement by $950,000 to a not to <br /> exceed amount of$8,131,782. <br /> Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, <br /> the parties agree as follows: <br /> 1. Section 4, (Compensation) of the Agreement is amended to read: <br /> The City shall pay Contractor for goods delivered and work actually performed at the unit <br /> prices set forth in Exhibits B and C of this agreement. The quantities of materials and the <br /> work stated in Exhibits B and C are estimates; actual quantities will be measured for <br /> payment in accordance with the pricing set forth in Exhibits B and C. Total compensation <br /> under this Agreement shall not exceed $8,131,782. The parties may mutually agree, in <br /> writing, to increase compensation, if first approved by City Council. <br /> 2.
