= ATTACHMENT # 1 Contract#: 2017260 FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this_day of April 2017 by the City of Pleasanton("City") and Delta Engineering Sales, ("Contractor"). Whereas, on July 1, 2016 the City and Contractor entered into a Procurement and Installation of Automated Water Meter Infrastructure (AMI) Agreement("Agreement"). Whereas,the parties desire to increase the amount of the Agreement by $950,000 to a not to exceed amount of$8,131,782. Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 4, (Compensation) of the Agreement is amended to read: The City shall pay Contractor for goods delivered and work actually performed at the unit prices set forth in Exhibits B and C of this agreement. The quantities of materials and the work stated in Exhibits B and C are estimates; actual quantities will be measured for payment in accordance with the pricing set forth in Exhibits B and C. Total compensation under this Agreement shall not exceed $8,131,782. The parties may mutually agree, in writing, to increase compensation, if first approved by City Council. 2. All other terms and conditions of the Agreement shall remain in full force and effect.
