Section 1 The Board hereby finds and determines that the foregoing recitals are

<br /> Section 2 The proposed form of the 2017 Installment Sale Agreement, dated as of
<br /> February 1, 2017, (the "Agreement"), by and between the City and the Authority, presented to
<br /> this meeting is hereby approved The Chairperson, Executive Director or Treasurer (each, an
<br /> "Authorized Authority Representative") is hereby authorized and directed, for and in the name
<br /> and on behalf of the Authority to execute, acknowledge, and deliver the Agreement in
<br /> substantially said form, with such changes therein as such officer may require or approve, such
<br /> approval to be conclusively evidenced by the execution and delivery thereof
<br /> Section 3 The proposed form of the Trust Agreement, dated as of February 1, 2017
<br /> (the "Trust Agreement"), by and between the Authority and the Finance Director of the City of
<br /> Pleasanton, as trustee (the "Trustee"), presented to this meeting, is hereby approved An
<br /> Authorized Authority Representative is hereby authorized and directed, for and in the name and
<br /> on behalf of the Authority, to execute, acknowledge, and deliver to the Trustee the Trust
<br /> Agreement in substantially said form, with such changes therein as such officer may require or
<br /> approve, such approval to be conclusively evidenced by the execution and delivery thereof
<br /> The date, maturity dates, interest rate or rates, interest payment dates, denominations, forms,
<br /> registration privileges, manner of execution, place or places of payment, terms of redemption,
<br /> and other terms of the Bonds shall be as provided in the Trust Agreement, as finally executed
<br /> Section 4 The proposed form of Purchase Contract relating to the Bonds (the
<br /> "Purchase Contract"), by and among the Purchaser, the City and the Authority, presented to this
<br /> meeting, is hereby approved An Authorized Authority Representative is hereby authorized and
<br /> directed to execute and deliver to the Purchaser the Purchase Contract in substantially said
<br /> form, with such changes therein as such officer may require or approve, such approval to be
<br /> conclusively evidenced by the execution and delivery thereof
<br /> Section 5 Forms of the proposed Agreement, Trust Agreement and Purchase
<br /> Contract are on file in the office of the Secretary
<br /> Section 6 Bonds in an aggregate principal amount not to exceed Seven Million Four
<br /> Hundred Thousand Dollars ($7,400,000) are hereby authorized to be issued at a rate not to
<br /> exceed the Maximum Rate, and shall be executed by the Executive Director and attested by the
<br /> Secretary in the form set forth in and otherwise in accordance with the Trust Agreement
<br /> Section 7 The Bonds, when so executed, shall be delivered to the Trustee for
<br /> is and directed to authenticate the Bonds b

<br /> Bonds, when duly executed and authenticated, to the Purchaser in accordance with written

<br /> which instructions said officer is hereby authorized and directed, for and in the name and on
<br /> behalf of the Authority, to execute and deliver to the Trustee Such instruction shall provide for
<br /> the delivery of the Bonds to the Purchaser in accordance with the Purchase Contract, upon
<br /> payment of the purchase price thereof
