offset or deduction of any kind, by paying the principal installments of the 2017 Installment Sale Payments annually in the amounts and on February 1 in each of the years in accordance with Exhibit A attached hereto and incorporated herein, together with interest installments of the 2017 Installment Sale Payments, which interest installments shall be paid semiannually in the amounts and on the Interest Payment Dates in accordance with Exhibit A attached hereto and incorporated herein Each of the Authority and the City agrees that the interest installment amounts set forth on Exhibit A are subject to adjustment in the event that the Authority's Series 2017 Bonds bear interest at the Default Rate or the Taxable Rate, each as defined in the Trust Agreement Each of the Authority and the City further agrees that Exhibit A shall be amended to reflect any such adjustment to the interest installments of the 2017 Installment Sale Payments The obligation of the City to pay the Purchase Price by paying the 2017 Installment Sale Payments is, subject to Section 8 01, absolute and unconditional, and until such time as the 2017 Installment Sale Payments shall have been paid in full (or provision for the payment thereof shall have been made pursuant to Section 7 01), the City will not discontinue or suspend any 2017 Installment Sale Payments required to be paid by it under this section when due, whether or not the Water System or any part thereof is operating or operable, or its use is suspended, interfered with, reduced, curtailed or terminated in whole or in part, and such payments shall not be subject to reduction whether by offset or otherwise and shall not be conditional upon the performance or nonperformance by any party to any agreement for any cause whatsoever In order to carry out and effectuate the obligation of the City contained herein to pay the Purchase Price by paying the 2017 Installment Sale Payments, the City agrees and covenants that all Water Revenues received by it shall be deposited when and as received in trust in the City of Pleasanton Water Revenue Fund(also known as the City of Pleasanton Water Utility Fund) which fund is hereby established and is hereby pledged and a security interest is granted therein and which fund the City agrees and covenants to maintain so long as any 2017 Installment Sale Payments remain unpaid, and all money on deposit in the Water Revenue Fund shall be applied and used only as provided herein The City shall pay all Maintenance and Operation Costs (including amounts reasonably required to be set aside in contingency reserves for Maintenance and Operation Costs the payment of which is not then immediately required) from the Water Revenue Fund as they become due and payable, and all remaining money on deposit in the Water Revenue Fund shall be set aside and deposited on or before the fourth Business Day before each date on which a 2017 Installment Sale Payment is due in the Installment Sale Payment Fund, which fund is hereby established and which fund the City agrees and covenants to maintain so long as any 2017 Installment Sale Payments remain unpaid, a sum equal to 2017 Installment Payments becoming due and payable hereunder on such date, except that no such deposit need be made if the Finance Director then holds money in the Installment Sale Payment Fund available to pay the 2017 Installment Payment becoming due and payable hereunder on such date, and all money on deposit in the Installment Sale Payment Fund on each 2017 Installment Sale Payment Date shall be paid to and deposited by the City with the Trustee on such 2017 Installment Sale Payment Date and used to make and satisfy the 2017 Installment Sale Payment due on such date and such payments shall be deposited by the Trustee to the 8 2762682 3
