"Opinion of Counsel" means a written opinion of counsel of national representation generally recognized to be well qualified in the field of law relating to municipal bonds, retained by the City "Original Purchaser" means JPMorgan Chase Bank, N A , its successor and assigns "Purchase Price"means the principal amount plus the interest thereon owed by the City to the Authority under the conditions and terms hereof for the repayment of the costs of the design, acquisition and construction of the Project and the incidental costs and expenses related thereto paid by the Authority "Treasurer of the Authority" means the Treasurer of the Authority or its successor designated by the Authority "Trust Agreement"means that certain Trust Agreement dated as of February 1, 2017, by and between the Finance Director, as trustee and the Authority, as originally executed and as it may from time to time be amended or supplemented in accordance with its terms "Trustee"means the Finance Director, together with any co-trustee, if any, appointed and acting pursuant to the Trust Agreement, or any successors and assigns as provided in the Trust Agreement "Water Project"means any additions, betterments, extensions or improvements to the Water System designated by the City Council of the City as a designated Water Project, the design, acquisition or construction of which (together with the incidental costs and expenses related thereto) is to be financed by the proceeds of any Bonds or any Contracts "Project" means the Recycled Water Infrastructure Expansion Project and such additions, substitutions and deletions as shall be specified in a Certificate of the City stating that such additions, substitutions or deletions constitute part of the Project "Water Revenue Fund" means the fund by that name established pursuant to Section 3 02 "Water Revenues" means all gross income and revenue received or receivable by the City from the ownership or operation of the Water System, determined in accordance with Generally Accepted Accounting Pnnciples, including all rates, fees and charges (including connection fees and charges) received by the City for the Water Service and the other services of the Water System and all other income and revenue howsoever derived by the City from the ownership or operation of the Water System or arising from the Water System, and also including all income from the deposit or investment of any money in the Water Revenue Fund, excluding any proceeds of taxes and any refundable deposits made to establish credit and advances or contributions in aid of construction "Water Service" means the water supply, storage, treatment and distribution service provided by the Water System 6 2762682 3
