AGREEMENT FOR SALE OF REAL ESTATE <br /> (401 and 403 Old Bernal Avenue, Pleasanton, California) <br /> THIS AGREEMENT FOR SALE OF REAL ESTATE (this "Agreement") dated for <br /> reference purposes only as of , 201_("Agreement Date"), is made and entered <br /> into by and between the CITY AND COUNTY OF SAN FRANCISCO, a municipal corporation <br /> ("City" or "Seller"), acting by and through its Public Utilities Commission("SFPUC"), and the <br /> CITY OF PLEASANTON, a municipal corporation ("Buyer") City and Buyer are each a <br /> "Party" and are sometimes collectively referred to in this Agreement as the "Parties") <br /> THIS AGREEMENT IS MADE WITH REFERENCE TO THE FOLLOWING FACTS <br /> AND CIRCUMSTANCES <br /> A. City owns the Property located in the City of Pleasanton in Alameda County, <br /> California, described in Section 1 below The Property consists of approximately 3 18 acres, or <br /> 138,597 square feet, and is located in downtown Pleasanton, across the street from the <br /> Pleasanton Public Library and in close proximity to the Pleasanton Police Department and <br /> Pleasanton Civic Center The ACE Rail Pleasanton Station and train tracks are located adjacent <br /> to the Property <br /> B. The SFPUC has recommended sale of the Property (defined in Section 1) <br /> pursuant to Resolution No <br /> C. Buyer has submitted the highest and best responsible offer to purchase the <br /> Property <br /> D. Buyer desires to purchase the Property and City is willing to sell the Property, <br /> subject to approval by City's SFPUC, Board of Supervisors, and Mayor, on the terms and <br /> conditions set forth in this Agreement <br /> ACCORDINGLY, for good and valuable consideration, the receipt and sufficiency of <br /> which are hereby acknowledged, City and Buyer agree as follows <br /> 1. SALE AND PURCHASE <br /> Subject to the terms, covenants and conditions set forth in this Agreement, City agrees to <br /> sell to Buyer, and Buyer agrees to purchase from City, City's interest in the unimproved real <br /> property located at 401 and 403 Old Bernal Avenue in the City of Pleasanton, Alameda County, <br /> State of California, and more particularly described in the attached Exhibit A (the "Property"), <br /> as shown generally on the attached Exhibit A-1 <br /> 2. PURCHASE PRICE <br /> 2.1 Purchase Price <br /> The purchase price for the Property is Four Million Two Hundred Thousand Dollars <br /> ($4,200,000 00) (the "Purchase Price") Buyer shall pay the Purchase Price as follows <br /> (a) Within five (5) business days after the Agreement Date (as defined in Section <br /> 10 19 below), Buyer shall deposit in escrow with Chicago Title Company, 455 Market Street, <br /> Suite 2100, San Francisco, CA 94105, Attention Mary Pat Noeker(the "Title Company"), the <br /> sum of One Thousand Five Hundred Dollars ($1,500 00) as an earnest money deposit(the <br /> "Initial Deposit") The Initial Deposit shall be non-refundable and shall be applied by City to <br /> meet City's ordinary application fees relating to Buyer's due diligence activities on the Property <br /> in the event the Closing does not occur Before the expiration of the Contingency Period as <br /> provided in Section 5 2 below, Buyer shall increase the Initial Deposit to One Hundred Thousand <br /> 1 <br />
