Exhibit D - Material Warranties ®s ARMORCAST PRODUCTS COMPANY 13230 Saticoy Street North Holtywaoa, California 91605 Telephone:(818)982-3600 Fax 4: (818)982-7742 WARRANTY Armorcast Products Company warranties the material and workmanship of its product at time of shipment. Armorcast warrants that the goods to be supplied hereunder shall be free from defects in materials & workmanship. Armorcast makes no other warranties, expressed or implied, by operation of law or otherwise, other than the fact that the material famished is warranted to perform its intended purpose and application. Material not properly Stalled or used in any application other than that which it was designed for and intended for, voids any warranty by Armorcast Products Company and releases same of any liability. All claims for alleged defects in goods or that goods do not conform to specification shall be deemed waived unless made in writing, delivered to Annorcast within sixty (60) days after receipt of goods by Buyer. Buyer shall afford Armorcast prompt and reasonable opportunity to inspect all goods as to which any claim is made. Upon receipt of shipping instructions from Armorcast, Buyer shall return to Armorcast all goods allegedly not conforming to specifications or otherwise allegedly defective. Under no circumstances shall any material be returned to Armorcast Products Company without prior written authorization from Armorcast. Goods returned must be returned in the same condition as when received by Buyer. Goods found by Armorcast to be defective, or not to conform to specifications, shall upon receipt be replaced or repaired by Armorcast without additional charge, or, at Ammreast's option, Armorcast may refund the purchase price of such goods. Armorcast will be responsible for return transportation charges on returned goods not exceeding the transportation charges applicable to shipment from original destination. Armorcaat's liability shall in no event extend beyond replacement,repair,or refund of the purchase price, as provided above. Annorcast shall not be liable under any circumstances for any special, contingent, or consequential damages, nor for loss, damages, or expenses directly or indirectly arising from the use of the goods, including without limitation, warehousing, manufacturing costs, lost profits, good will, labor, handling and service charges, and die,equipment,and machine breakage. Products shipped by Armoreast's trucks remain the property of Armorcast, and Annorcast remains responsible until delivery at destination. Responsibility of Armorcast for products shipped by customer designated common carrier, or by Buyer's private trucks, ceases upon delivery of goods to the carrier or to Buyer's private trucks in good order. We hereby certify that these goods were produced in compliance with all applicable requirements of Section 6,7,and 12 of the Fair Labor Standards Act,as amended,and of regulations and orders of the United States Department of Labor under Section 14,thereof.
