Exhibit D - Material Warranties a� s� [fl L R i mart In solutions Metering Limited Extended Warranty Applicability • This Limited Warranty Statement is applicable to all HYDRUS Ultrasonic water meters, sizes 5/8", 3/4"S (5/8"x 3/4"), 3/4"x 9"and 1", marked on the delivery note as'Extended Warranty",for the City of Pleasanton, California.This referenced limited warranty is for the metering and Automated Metering Infrastructure Project of 2016. Warranty, Material and Workmanship Diehl Metering GmbH ("Diehl Metering")warrants that products delivered shall at the date of delivery be free from defects in material and workmanship. Furthermore Diehl Metering warrants that in case, products marked on the delivery note as"Extended Warranty"show defects in material and workmanship Diehl Metering's customer shall be entitled, according to the provisions of this Warranty Statement,for the pertaining time frame In accordance with the Preconditions and Claim Handling as stated below. Entitlement Diehl Metering warrants that applicable HYDRUS Ultrasonic water meters including HYDROS System Components (Electronics, Battery,Transducers and Register)with hourly reads are free from defects in material and workmanship from the date of shipment within the following time frames. For products where the time difference between the delivery as stated on the delivery notice and invocation of claims according to the handling process described below is less than 5 years,the Product will at the discretion of Diehl Metering, be repaired or replaced free of charge. During this time Diehl Metering will pay the ordinary and reasonable costs for removal of the defective Product and installation of the repaired or replaced Product. • If said time difference is between 5 and 10 years,the Product will, at the discretion of Diehl Metering, be repaired or replaced free of charge. a If said time difference is between 11 and 14 years, the Customer is entitled to a discount of sixty (60) percent of the list price for the same Product or its designated successor valid at the time of return. • If the time difference is between 15 and 17 years, the discount shall be fourty(40) percent of the list price for the same Product or its designated successor valid at the time of return. • If the time difference is between 18 and 20 years,the discount shall be twenty(20)percent of the list price for the same Product or its designated successor valid at the time of return.
