ATTACHMENT 2 <br /> REIMBURSEMENT AGREEMENT FOR SIDEWALK CONSTRUCTION <br /> between the <br /> CITY OF PLEASANTON <br /> and <br /> PLEASANTON UNIFIED SCHOOL DISTRICT <br /> related to Amador Valley High School Traffic Signal Installation Project No. 155050 <br /> This Reimbursement Agreement for Sidewalk Construction ("Agreement") is by and <br /> between the CITY OF PLEASANTON, a municipal corporation("City") and the PLEASANTON <br /> UNIFIED SCHOOL DISTRICT ("District"), each also individually referred to as"Party"and <br /> collectively referred to as the"Parties" on 2016. <br /> The Parties agree as follows: <br /> Recitals <br /> WHEREAS, District currently owns, maintains and operates the Amador Valley High <br /> School at 1155 Santa Rita Road, Pleasanton, CA(the"Site"); and <br /> WHEREAS, City is undertaking a capital improvement project, Project No. 155050 (the <br /> "Project"), for a traffic signal installation in the public street in front of the Site, where the <br /> installation of the related controller and equipment will partially be on the Site; and <br /> WHEREAS, since parts of the Project are taking place at the Site,District and City have <br /> agreed to include as part of the Project the construction of a portion of the sidewalk at the Site for <br /> the benefit of the District(the "Sidewalk Item") which District acknowledges has been estimated at <br /> a cost of Forty-Five Thousand Dollars ($45,000). <br /> NOW,therefore, in exchange for valuable consideration,the receipt of which is hereby <br /> acknowledged, District and City agree as follows: <br /> 1. City Management of Project. City shall be responsible for the management of the Project <br /> and coordinate with the District in all matters pertaining to the addition of the sidewalk <br /> located on the north side of the District's property, including award of bid, contractor <br /> management, final inspection and acceptance of improvements. District acknowledges that <br /> City may reject all bids and decide not to proceed with the Project. <br /> a. City has included as part of the Project the Sidewalk Item described in the recitals <br /> which is for the benefit of the District. <br /> b. As part of the bid specifications for the Project,the successful bidder shall name the <br /> District as an additional insured for all insurance and indemnification provisions <br /> related to Project work on the Site. <br /> 2. Division of the State Architect.
