RECITALS WHEREAS, the Housing Authority of the City of Pleasanton, a public body corporate and politic, organized under the laws of the State of California ("PHA"), intends to transfer the Disposition Property via a negotiated sale at less than fair market value to the City of Pleasanton, a municipal corporation, organized under the laws of the State of California("Purchaser"); WHEREAS, PHA previously executed and recorded a document entitled "Declaration of Trust,"recorded on July 20, 1989 as Instrument Number 89-195324 in the official records of the County of Alameda (the "Declaration of Trust"), which granted to HUD certain rights and imposed certain restrictions with respect to the Disposition Property; WHEREAS, PHA previously requested HUD approval of the sale of the Disposition Property and HUD has, as documented in the letter from HUD to PHA dated February 26, 2015, as thereafter amended (as amended, the "Approval Letter"), agreed to such sale on the terms and conditions set forth in the Approval Letter and this Release;
