Section 6.16 Recordation of Development Agreement. Pursuant to California Government Code section 65868.5, no later than ten (10) days after City enters into this Agreement, the City Clerk shall record an executed copy of this Agreement in the Official Records of the County of Alameda. Section 6.17 Limitation on Liability. Notwithstanding anything to the contrary contained in this Agreement, in no event shall: (a) any partner, officer, director,member, shareholder, employee, affiliate, manager, representative, or agent of Developer or any general partner of Developer or its general partners be personally liable for any breach of this Agreement by Developer, or for any amount which may become due to City under the terms of this Agreement; or(b) any member, officer, agent or employee of City be personally liable for any breach of this Agreement by City or for any amount which may become due to Developer under the terms of this Agreement. Section 6.18 Project as a Private Undertaking;No Joint Venture or Partnership. The Project constitutes private development, neither City nor Developer is acting as the agent of the other in any respect hereunder, and City and Developer are independent entities with respect to the terms and conditions of this Agreement. Nothing contained in this Agreement or in any document executed in connection with this Agreement shall be construed as making City and Developer joint venturers or partners. Section 6.19 Time Is of the fence. Time is of the essence for each provision of this Agreement for which time is an element. Section 6.20 Third Party Beneficiaries. Bit as otherwise provided herein, City and Developer hereby renounce the existence of any third party beneficiary to this Agreement and agree that nothing contained hem shall be construed as giving any other person or entity third party beneficiary status._ Section 6.21 Recitals. The recitals to this Agreement are part of the Agreement. 16
