,ii <br />1111 <br />from any jurisdiction which the Bank informs the Customer or where the Customer has knowledge that the Service is not authorized. The <br />Customer hereby represents and warrants to the Bank that these Terms constitute its legal and binding obligations enforceable in accordance <br />with its terms. <br />6. Miscellaneous <br />6.1. The additional jurisdiction specific provisions set forth in the attached Exhibit are applicable to the Customer based on the domicile of the <br />Customer. Where any local laws or regulations of any jurisdiction apply as a result of the Customer's Authorised Users accessing the <br />Service from such jurisdiction or as a result of the location of such accounts in such jurisdiction, the jurisdictional specific provisions of that <br />jurisdiction shall apply to the use of the Service by such Authorised Users. The Bank's terms governing the business accounts and <br />services, including service terms that govern the Bank's processing of Instructions transmitted via the Service ( "Account Documentation "), <br />are incorporated herein, as the same may be amended from time to time. If and to the extent that there is a conflict between the Account <br />Documentation and these Service Terms, the provisions of these Service Terms shall prevail. <br />6.2. These Service Terms shall be governed by and construed in accordance with the laws of the State of New York, USA (without reference to <br />the conflict of laws rules thereof). <br />6.3. All disputes arising outside the United States relating to or in connection with these Service Terms shall be finally settled under the Rules of <br />Arbitration of the International Chamber of Commerce by one or more arbitrators appointed in accordance with the said Rules. The place <br />of arbitration shall be (1) Singapore where the dispute arises in Asia and (ii) London where the dispute arises elsewhere (other than the <br />United States) and the arbitration shall be conducted in English. With respect to any dispute, suit, action or proceedings arising in the <br />United States relating to these Service Terms, the Customer irrevocably submits to the non - exclusive jurisdiction of the courts of the State <br />of New York and the United States District Court located in the borough of Manhattan in New York City. <br />7. Mobile Application <br />The Service is available via a Bank mobile application (any such application, including released modifications, updates, upgrades, successor and <br />substitute software programs as may have been provided by the Bank to the Customer, a "Mobile Application "). <br />7.1. Accepting use of the Bank's SMS Text Notification Service and /or the Mobile Application service constitutes the Customers authorization <br />for the Bank to send Data, message notifications and alerts through any communication service providers, including both Internet and <br />telecommunications providers, which shall each be deemed to be acting as the Customer's agent. Such providers may not encrypt <br />communications. <br />7.2. Authorised Users may be required to accept an application agreement or license in order to download the Mobile Application. The <br />Customer acknowledges that the Account Documentation shall in all cases govern the provision of these services. <br />7.3. The Customer acknowledges that the Bank shall not be liable for any delays in any Data, message notification or alert delivered via any <br />mobile device. <br />8. Host -to- Host/File Transfer Services <br />The Service is available via host -to- host/file transfer Services. The Customer and the Bank will use the following procedures for transport <br />encryption /authentication and digital- signature public key management using a certificate ( "Certificate "). <br />8.1. The Bank shall have the right to rely on any request relating to and in connection with the host- to- host/file transfer channels that the Bank <br />believes in good faith to have been sent by a security administrator, notwithstanding that such security administrator may be a third party <br />agent acting on behalf of the Customer. <br />8.2. All requests to add, update or delete security keys will be coordinated through the Customer's customer service officer (or other designated <br />Bank representative as the Bank may direct). <br />8.3. Customer shall provide a request and supplementary material (such as a text file or other physical representation of the public security keys <br />of the relevant Certificate) in accordance with the Bank's administrative control procedures of the action to be taken, a request for a <br />suggested date and time the action is to be taken, and an attached file containing the Certificate. The Bank shall effect such change <br />requests within a reasonable period of time; however, such requests must be received at least two U.S. banking days prior to the security <br />key implementation date. <br />8.4. Upon receipt of Customers request, the Bank will validate the request. Upon successful confirmation, the Bank will reply confirming receipt <br />of the security key file and the scheduled date and time for the action to take place. Requests for security key additions, updates or <br />deletions will be actioned during the course of normal business hours, Monday through Friday, 8:30 AM — 5:30 PM Eastern Time (United <br />States). The Bank shall not take any action until a request has been received from the Customer which the Bank acting in good faith <br />believes to be an authorized request, in the form the Bank advises the Customer. <br />8.5. The Customer agrees to abide by Bank's administrative control procedures for security Certificates, including the following: <br />(i) Certificates must have a finite validity period, the maximum length of which is determined by the combined use of a Transport <br />Certificate and a Signature Certificate. <br />PN: 1125418 DOC ID: 6 Page 46 of 51 <br />
