Attachment 1 <br /> WHEREAS, the parties desire to enter into an AGREEMENT to efficiently <br /> coordinate interagency efforts to reduce costs, increase efficiency, or achieve higher <br /> quality work-product by providing services and resources to the other parties; and <br /> WHEREAS, it is understood that the primary purpose of this AGREEMENT is to <br /> provide a structure for the successful and efficient coordination of utility and public works <br /> maintenance activities, sharing of resources and contracting for services described <br /> herein; and <br /> WHEREAS, the parties understand that the AGREEMENT provides only a <br /> general framework to address the administration, liability and equitable apportionment of <br /> the cost of services provided by one party to the other, with more specific terms and <br /> conditions contained in written Task Orders negotiated between the individual parties for <br /> sharing resources or contracting for services; and <br /> WHEREAS, the parties do not intend to create a separate public agency pursuant <br /> to Government Code §6500 et seq. through this AGREEMENT and no provision of this <br /> AGREEMENT should be so construed; and <br /> WHEREAS, the parties intend to directly contract with one another for services, <br /> supplies, equipment, or materials using the framework set forth in this agreement. <br /> NOW, THEREFORE, the parties hereto do hereby enter into this AGREEMENT, <br /> as follows: <br /> 1. Definitions. As used in this AGREEMENT, the following words and <br /> phrases shall have the meanings set forth below unless the context clearly <br /> indicates otherwise. <br /> 3 <br />
