If the Director notifies OPERATOR that the prices being charged are not fair and reasonable, OPEARTOR shall have the right to confer with the Director and justify such pricing. 6. BACKGROUND CHECKS. Pursuant to California Penal Code Section 11105.3, OPERATOR shall complete "Live Scan" fingerprinting for all employees, independent contractors or volunteers who will have supervisory or disciplinary authority over minors (under age 18), and shall notify the CITY if any such individual has been convicted of a criminal offense and the nature of the offense. The CITY reserves the right to prohibit the employment or hiring of any individual if that individual has been convicted of any offense specified in California Penal Code Sections 11105.3(c)(1). OPERATOR shall not hire or retain any employee, independent contractor or volunteer to work with minors until proper screening and notification to the CITY has taken place pursuant to this paragraph. 7. OPERATOR AGREEMENT INCORPORATED AND TO REMAIN IN EFFECT. Except as expressly amended herein, the Operator Agreement shall remain in full force and effect throughout the term as extended by this Extension Agreement hereby and the parties agree to abide by such terms which are incorporated herein by this reference. In the event of any inconsistency between the provisions of this Extension Agreement and the provisions of the Operator Agreement, the provisions of this Operator Agreement shall control.
