Attachment 1 AMENDENT TO PROFESSIONAL SERVICES AGREEMENT THIS is an AMENDMENT to the Professional Services Agreement by and between the CITY OF PLEASANTON, a municipal corporation (hereinafter referred to as the "City"), and Innovative Claim Solutions, Inc. whose address is P.O. Box 5128, San Ramon, CA 94583, and telephone number is 925-327-8050, (hereinafter referred to as the "Consultant") for the period of July 1, 2011 and June 30, 2014. The parties for good and valuable consideration, receipt and sufficiency of which is hereby acknowledged, agree to amend the Professional Services Agreement as follows: 6. Terms are hereby amended and restated as follows: Consultant shall begin work upon the direction of the Human Resources Department, City of Pleasanton. The work as described in Exhibit "A" Scope of Work shall be completed by mutually agreed upon timeframe. The agreement will be extended effective July 1, 2014. This one-year extended agreement will expire June 30, 2015, unless sooner terminated pursuant to this agreement. 7. Compensation is hereby amended and restated as follows: For the services to be rendered hereunder, City shall pay Consultant $169,102, payable in equal monthly installments of $14,091.83, due at the beginning of each month. The above described fee is based on the open indemnity claim inventory as of June 30, 2014, that is 152. ICS agrees to re-evaluate the annualized fee in effect on January 1, 2015. Should the open indemnity claim inventory decrease by more than 10% from the current open indemnity inventory, ICS agrees to decrease ft's fee for the balance of the agreement period based on staffing levels required for the open indemnity claim inventory in effect at that time. All other terms of the Professional Services Agreement remain unchanged.
