The City of Livermore, its officers, officials, employees and designated volunteers, as well as any other agency operating or maintaining the Property for the City or tenant occupying the Property that is designated by the City, are to be covered as insureds as respects: liability arising out of activities performed by or on behalf of Lessee; or automobiles owned, leased, hired or borrowed by Lessee. The coverage shall contain no special limitations on the scope of protection afforded to the insureds. 2. For any claims related to this project, Lessee's insurance coverage shall be primary insurance as respects the City of Livermore, its officers, officials, employees and volunteers, as well as any other agency operating or maintaining the Property for the City or tenant occupying the Property that is designated by the City. Any insurance or self-insurance maintained by the City of Livermore, its officers, officials, employees or volunteers, and any other agency operating or maintaining the Property for the City or tenant occupying the Property that is designated by the City, shall be excess of Lessee's insurance and shall not contribute with it. 3. Any failure to comply with reporting or other provisions of the policy including breaches of warranties shall not affect coverage provided to the City of Livermore, its officers, officials, employees or volunteers, or any other agency operating or maintaining the Property for the City or tenant occupying the Property that is designated by the City. 4. The Wireless Proivder's insurance shall apply separately to each insured against whom claim is made or suit is brought, except with respect to the limits of the insurer's liability. 5. Lessee shall provide at least thirty (30) days' prior written notice by mail to the City of Livermore or cancellation of any required coverage that is not replaced. The City shall not be liable for any consequential loss sustained by Lessee. City shall not be liable for any loss of Lessee's personal property. Notwithstanding the forgoing, Lessee may, in its sole discretion, self insure any of the required insurance under the same terms as required by this Lease Agreement. In the event Lessee elects to self-insure its obligation under this Lease Agreement to include City as an additional insured, the following conditions apply: (i) City shall promptly and no later than thirty (30) days after notice thereof provide Lessee with written notice of any claim, demand, lawsuit, or the like for which it seeks coverage pursuant to this Section and provide Lessee with copies of any demands, notices, summonses, or legal papers received in connection with such claim, demand, lawsuit, or the like; (ii) City shall not settle any such claim, demand, lawsuit, or the like without the prior written consent of Lessee; and (iii) City shall fully cooperate with Lessee the defense of the claim, demand, lawsuit, or the like.
