Lessee agrees to defend, indemnify, and hold City, Pleasanton, and their <br /> respective elected officials, officers, directors, employees, agents, and designated volunteers <br /> (collectively "Indemnities") harmless from and against any and all loss, liability, damage, <br /> including reasonable attorney's fees and court costs including expert witness fees, arising out of <br /> or related to, and to the extent caused by, the acts or omissions of Lessee, its employees, <br /> contractors, agents, representatives or designated volunteers in connection with this Lease <br /> Agreement, Lessee's use of the Leased Areas including the installation and operation of the <br /> Equipment on the Premises, the installation and operation of the Wireless Telecommunication <br /> Facility, and the activities and/or operations permitted by this Lease Agreement. Such <br /> obligations to defend, hold harmless and indemnify any of the Indemnities shall not apply to the <br /> extent that such Liabilities are caused by the active negligence or willful misconduct of the <br /> Indemnities or any of them. <br /> 22. Encumbrance. The Lessee shall pay, or cause to be paid, all costs and expenses for <br /> work done by it, or caused to be done by it, on the Leased Areas of a character which will or <br /> may result in any lien on the Property. Likewise, the Lessee shall keep the Property free and <br /> clear of any mechanic's lien or other lien on account of work done for it or at its request. Should <br /> any claims of lien be filed and/or recorded against the Property, or any action affecting the title <br /> thereto commenced, Lessee shall give the City written notice promptly following Lessee's <br /> knowledge thereof. <br /> 23. Insurance. Lessee shall procure and maintain insurance or self-insurance during the <br /> Term of this Lease Agreement in the amounts and under the terms set forth in Attachment "C" <br /> against claims that may arise from or in connection with this Lease Agreement and the <br /> installation, maintenance, and operation of the Equipment, Antenna, and Wireless <br /> Telecommunication Facility on the Leased Areas. Upon reasonable written notice, Lessee shall <br /> comply with any changes in the amounts and terms of insurance as may be required from time- <br /> to-time by City's Risk Manager. <br /> 24. Entry by City and other lessees. Except in the event of a bona fide emergency for which <br /> no prior notice to Lessee shall be required, Lessee shall permit City, its officials, officers, <br /> employees, agents and designated volunteers to enter into and upon Lessee's equipment <br /> shelter upon reasonable prior written notice to Lessee (which in no event shall be less than two <br /> (2) business days prior written notice) for the purpose of inspecting the Leased Areas, enforcing <br /> the rules and regulations under this Lease Agreement, and the posting of such legal notices as <br /> City may deem necessary or convenient. City or other lessees of Cities (or either of them) that <br /> have equipment or antennas within the secured fence compound, shall continue to have full <br /> unrestricted access to the secured fenced compound that contains the Leased Area for <br /> maintenance and operation of their respective equipment and antennas. <br /> Lease for Installation of Telecommunications Equipment-Final Page 13 <br />
