Box 520 Pleasanton, California 94566 St•Anton P A R T N E R S Re: Binding Offer to Pay in Lieu Park Fees for Improvements to Bernal Park, Pleasanton, California Dear Mr. Bocian: ATTACHMENT 8 www.AntonLLC.com A binding offer is hereby made by Hacienda Pleasanton, LP, a California limited partnership or its affiliate(s) (collectively, "St. Anton "), to pay to the City of Pleasanton ( "City ") in lieu park fees equal to approximately $1,338,792, to be specifically utilized for improvements designated by the City, to Bernal Park in Pleasanton, California. Such in lieu park fees shall be paid by St. Anton prior to the issuance of the first residential building permit for the multi- family residential project commonly known as Anton Hacienda and located at 5729 West Las Positas Boulevard, Pleasanton, California 94588 ( "St. Anton Project "). The improvements to be made. to Bernal Park from funds paid as part of the in lieu park fees will serve, amongst others, the residents of the St. Anton Project and the community at large. In connection with the binding offer herein made by St. Anton, St. Anton covenants and agrees that it will not oppose, object to, or make any claim for reimbursement stemming from the City's use of St. Anton's contribution of in lieu park fees for improvements to Bernal Park. Subject to City Council approval by duly taken action, once this offer is accepted by the City by countersigning below and returning this letter to St Anton's address listed above, this offer will become binding on St. Anton and shall obviate for all purposes any need for a development agreement between St. Anton and the City of Pleasanton.
