desirable for the development of the Staples Ranch Project, including, <br /> without limitation, the following: amendments to the Project Approvals, <br /> amendments to this Agreement, design review approvals, improvement <br /> agreements, PUD development plans, use permits, grading permits, building <br /> permits, lot line adjustments, sewer and water connection permits, <br /> certificates of occupancy, subdivision maps, rezonings, resubdivisions, <br /> general plan amendments, specific plan amendments, and any amendments <br /> to, or repealing of, any of the foregoing. In addition, approval of each of the <br /> following shall constitute a Subsequent Approval: <br /> (i) A PUD development plan for the Commercial Site; <br /> (ii) A PUD development plan for the Community Park Site; and <br /> (iii) Any tentative subdivision map or parcel map for all or a portion of the <br /> Project Site. <br /> A project for which the Project Approvals contemplated that the project may <br /> be developed in phases does not need a Subsequent Approval in order to <br /> proceed with a later phase so long as development of that later phase is in <br /> substantial conformance with the Project Approvals. <br /> (b) Policy Changes. By approving the Staples Ranch Specific Plan Amendment, <br /> City has made a final policy decision that the Staples Ranch Project is in the <br /> best interests of the public health, safety and general welfare. Accordingly, <br /> in considering any application for a Subsequent Approval, City shall not, <br /> unless requested by a Developer applying for a Subsequent Approval, use its <br /> discretionary authority to change the policy decisions reflected by the <br /> Project Approvals or otherwise to prevent or delay development of the <br /> Staples Ranch Project. <br /> (c) Timely Submittals By Developers. SPA acknowledges that City cannot <br /> expedite processing of Subsequent Approvals until each Developer submits <br /> complete applications on a timely basis. SPA shall use its best efforts to <br /> encourage each Developer to (i) provide to City in a timely manner any and <br /> all documents, applications, plans, and other information necessary for City <br /> to carry out its obligations hereunder; and (ii) cause each Developer's <br /> planners, engineers, and all other consultants to provide to City in a timely <br /> manner all such documents, applications, plans and other materials required <br /> by Applicable Law. SPA and City intend to cooperate and diligently work <br /> to obtain any and all Subsequent Approvals. <br /> (d) Timely Processing By City. In addition to the other general covenants <br /> concerning processing of Subsequent Approvals set forth in this Agreement, <br /> upon the filing of any application for a Subsequent Approval, City shall, to <br /> the maximum extent permitted by law, promptly and diligently commence <br /> 13 <br />
