FIRST AMENDMENT TO AGREEMENT This First Amendment to Agreement ("First Amendment") is entered into this day of June, 2012 by the City of Pleasanton ("City") and J D Franz Research, Inc. ("Consultant") Whereas, on November 23, 2012, the City and Consultant entered into a Professional Services Agreement for development and implementation services to conduct a survey of local businesses ("Agreement"); and Whereas, original scope of the project has been completed and the City now desires to implement the survey instruments and conduct a survey of Pleasanton businesses; and Whereas,the parties desire to amend to the Agreement; Now, therefore, in exchange for valuable consideration, the receipt of which is hereby acknowledged, the parties agree as follows: 1. Section 1 of the Agreement, "Consultant's Services" is amended to read: The scope of services has been expanded to include the additional services described in Exhibit A of this amendment; and 2. Section 3 of the Agreement, "Terms" is amended to read: This contract shall commence on the date written above and shall expire on August 31, 2012; and. 3. Section 4 of the Agreement, "Compensation" is amended to react: The compensation is increasing by $18,500 for a new total compensation amount of $35,450; and 3. All other terms and conditions of the Agreement shall remain in full force and effect.
