Specifications, Terms & Conditions for Operation and Maintenance Services of Sewer and Water Systems furnished to the protestor, the Bidder whose Bid is the subject of the Bid protest, and all Bidders affected by the decision. 4. The County will complete the Bid protest/appeal procedures set forth in this paragraph before a recommendation to award the Contract is considered by the Board of Supervisors. 5. The procedures and time limits set forth in this paragraph are mandatory and are each Bidder's sole and exclusive remedy in the event of Bid Protest. A Bidder's failure to timely complete both the Bid protest and appeal procedures shall be deemed a failure to exhaust administrative remedies. Failure to exhaust administrative remedies, or failure to comply otherwise with these procedures, shall constitute a waiver of any right to further pursue the Bid protest, including filing a Government Code Claim or legal proceedings. IV. TERMS AND CONDITIONS Q. TERM / TERMINATION / RENEWAL 1. The term of the contract, which may be awarded pursuant to this RFP, will be one (1) year. 2. By mutual agreement, any contract which may be awarded pursuant to this RFP may be extended for four (4) additional one year terms at agreed prices with all other terms and conditions remaining the same. R. QUANTITIES Quantities listed herein are not to be construed as a commitment. No minimum or maximum is guaranteed or implied. S. PRICING 1. All pricing as quoted will remain firm for the term of any contract that may be awarded as a result of this RFP. 2. All prices are to be F.O.B. destination. Any freight/delivery charges are to be included. 3. The prices quoted shall be the total cost the County will pay for this project including taxes and all other charges. 4. All prices quoted shall be in United States dollars and "whole cent," no cent fractions shall be used. There are no exceptions. Page 21 of 29
