EMERGENCY MEDICAL SERIF (S LI1'51 RLSVONUER AI/YAWED LIFE SUPPORI AGREEMENT (11W1/20] 1) <br /> 17.5 Indemnification <br /> Each party shall indemnify, defend, protect, hold harmless, and release the other, their <br /> elected bodies, officer, agents, and employees, from and against any and all claims, losses, <br /> proceedings, damages, causes of action, liability, costs, or expense (including attorney's fees <br /> and witness costs) arising from or in connection with, or caused by any negligent act or <br /> omission or willful misconduct of such indemnifying party. This indemnification obligation <br /> shall not be limited in any way by any limitation on the amount or type of damages or <br /> compensation payable to or for the indemnifying party under workers' compensation acts, <br /> disability benefit acts, or other employee benefit acts. <br /> 17.6 Insurance <br /> Contractor shall at all times during the term of the Agreement with the County maintain in <br /> force the insurance coverage specified in ExHIEIT C - MINIMUM INSURANCE REQUIREMENTS, and <br /> shall comply with all those requirements as Stated therein. <br /> 17.7 Conformity with Law and Safety <br /> a. In performing Services under this Agreement, Contractor shall, at all times, observe and <br /> comply with all applicable laws, ordinances, codes and regulations of governmental <br /> agencies, including Federal, State, municipal, and local governing bodies, having <br /> jurisdiction over the Services, including, but not limited to, all applicable provisions of <br /> the California Occupational Safety and Health Act. It shall be Contractor's sole <br /> responsibility to be fully familiar with all such applicable laws, ordinances, and <br /> regulations. <br /> b. Contractor shall indemnify and hold County harmless from any and all liability, fines, <br /> penalties and consequences from any failure by Contractor to comply with such laws, <br /> ordinances, codes and regulations. <br /> c. If a death, serious personal injury, or substantial property damage occurs in connection <br /> with Contractor's performance of this Agreement and warrants submission of an <br /> Alameda County EMS Unusual Occurrence Report (as per EMS Policy). Contractor shall <br /> immediately notify County by contacting the Alameda County Regional Emergency <br /> Communications Center (ACCREC), as per EMS policy, and ask to speak to the EMS <br /> person on-call. Contractor shall promptly submit to County a written report, in such <br /> form as may be required by County, of all accidents that occur in connection with this <br /> Agreement.
